Common use of Complete Agreement; Governing Law Clause in Contracts

Complete Agreement; Governing Law. This Agreement contains the full and complete understanding and agreement of the parties and supersedes all prior agreements and understanding between the parties with respect to the subject matter hereof. This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey applicable to agreements made and wholly performed within said State, and may not be modified, amended, terminated or discharged orally.
