Complete Agreement of Parties. This Release Agreement constitutes the entire agreement among the Parties with respect to the subject matter hereof. Any supplements, modifications, waivers or terminations of this Release Agreement shall not be binding unless executed in writing by the parties to be bound thereby. No waiver of any provision of this Release Agreement shall constitute a waiver of any other provisions of this Release Agreement (whether similar or not), nor shall such waiver constitute a continuing waiver unless otherwise expressly so provided.

This Forbearance Agreement constitutes the entire agreement between Bank and Borrower arising out of, related to or connected with the subject matter of this Forbearance Agreement. Any supplements, modifications, waivers or terminations of this Forbearance Agreement shall not be binding unless executed in writing by the parties to be bound thereby. No waiver of any provision of this Forbearance Agreement shall constitute a waiver of any other provisions of this Forbearance Agreement (whether similar or not), nor shall such waiver constitute a continuing waiver unless otherwise expressly so provided. However, this Forbearance Agreement does not alter or amend any provision of any of the Loan Documents except to the extent of the provisions expressly set forth herein.

This Agreement and the License Agreement, a form of which is attached hereto as Exhibit A (“the License Agreement”), constitute the entire agreement between the Parties arising out of, related to or connected with the subject matter of this Agreement, and is intended to be a complete, final and exclusive expression of the Parties’ agreement with respect to the terms included herein within the meaning of California Code of Civil Procedure Section 1856. No waiver of any provision of this Agreement shall constitute a waiver of any other provisions of this Agreement (whether similar or not), nor shall such waiver constitute a continuing waiver unless otherwise expressly so provided. To the extent of any inconsistency between the terms and provisions of the Purchase Documents and those of this Agreement or any Release Agreement, this Agreement and the Release Agreement shall govern and control, but except to such extent, the terms and provisions of the Purchase Documents shall be unchanged and remain in full force and effect.
