Completeness of Statements. No representation or warranty in this Agreement and no statement set forth in any schedule attached hereto contains any untrue statement of any material fact, or omits to state any material fact necessary to make the statements contained therein not misleading.

No representation or warranty of the Seller herein and no written statement or certificate furnished, or to be furnished, by or on behalf of the Seller to the Company, or their agents pursuant hereto or in connection with the transaction contemplated hereby, contains or will contain on the Closing any untrue statement of a material fact or omits or will omit to state a material fact necessary in light of the circumstances to make the statements contained herein or therein not misleading.
Completeness of Statements. Each Seller has disclosed to Buyer in writing all material facts known to it relating to the representations and warranties of such Seller made in this Agreement. No representation, warranty or covenant of either Seller in this Agreement contains any untrue statement of a material fact, any misstatement of a material fact or omits to state a material fact necessary to make the statements herein or therein not misleading when taken as a whole.

No representation or warranty of AEGON herein or in the schedules and Ancillary Agreements attached or delivered pursuant hereto, all of which are expressly incorporated herein by reference, and no written statement or certificate furnished or to be furnished by or on behalf of AEGON or AUSA Life to the Selling Parties or their agents pursuant hereto or in connection with the transactions contemplated hereby, contains or will contain on the Closing Date any untrue statement of a material fact or omits or will omit to state a material fact necessary in order to make the statements contained herein and therein not misleading.

The Officers’ Certificates and all other documents and instruments delivered and to be delivered by any member of the Borrowing Group, any Guarantor or their respective representatives in connection with the transactions contemplated by the Loan Documents are or will be on the dates on which they are or will be delivered true and complete in all material respects.

No representation by Buyer in this Agreement or in any statement (including financial statements), exhibit, schedule, certificate, document or instrument provided to Seller pursuant to or in connection with this Agreement and the transactions contemplated by this Agreement contains any untrue statement of a material fact or omits to state a material fact necessary to make any such statements not misleading.

No statement, Schedule, Annex, certificate, information, representation or warranty of Seller or the Shareholder contained in this Agreement or the Other Agreements, or furnished by or on behalf of Seller or the Shareholder to Purchaser or VideoLan Parent or any of their agents pursuant hereto or thereto, or in connection with the transactions contemplated hereby or thereby, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact necessary in order to make a statement contained herein or therein not misleading. All representations and warranties of Seller and the Shareholder contained in this Agreement and in the Other Agreements are true and complete as of the date hereof.

No statement, Annex, certificate, information, representation or warranty of Seller or the Shareholders contained in this Agreement or the Other Agreements, or furnished by or on behalf of Seller or the Shareholders to Purchaser or any of its agents pursuant hereto or thereto, or in connection with the transactions contemplated hereby or thereby, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact necessary in order to make a statement contained herein or therein not materially misleading.

No statement, Schedule, Annex, -------------------------- certificate, representation or warranty of any Company or the Principal Shareholder (or the Shareholders with respect to their Shares) contained in this Agreement or the Other Documents, or furnished by or on behalf of any Company or the Principal Shareholder to Purchaser or any of its agents pursuant hereto or thereto, or in connection with the transactions contemplated hereby or thereby, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact necessary in order to make a statement contained herein or therein not misleading. All representations and warranties of the Shareholders contained in this Agreement and in the Other Documents are true and complete in all material respects as of the date hereof, and will be true and complete in all material respects as of the Closing Date.

To the knowledge of the Shareholder, no representation or warranty of the Shareholder in this Section 2 contains any untrue statement of a material fact, any misstatement of a material fact, or omits to state a material fact necessary to make the statements herein or therein not misleading in light of the circumstances under which they were made.
