Common use of Compliance Agreement Clause in Contracts

Compliance Agreement. The Employee agrees to continue to be bound by the Agreement Regarding Confidentiality, Trade Secrets, Intellectual Property and Competitive Activities executed by the Company and the Employee on September 19, 2019 (the “Compliance Agreement”, attached hereto as Exhibit A), the terms and conditions of which are specifically incorporated herein by reference. Notwithstanding the foregoing, the parties hereto hereby agree that Section 3(a)(2) of the Compliance Agreement shall not apply to the Employee following the date of termination if the Employee’s employment is terminated as a result of (a) a Non-Renewal by the Company or (b) a Change in Control Termination. The obligation of the Company to make payments to or on behalf of the Employee under Section 13.2(ii), Section 13.3(ii), Section 13.4(ii) or Section 13.5(ii) above is expressly conditioned upon the Employee’s continued performance of the Employee’s obligations under the Compliance Agreement.

Notwithstanding the foregoing, the parties hereto hereby agree that Section 3(a)(212(a) of the Compliance Agreement shall not apply to the Employee following the date of termination if the Employee’s employment is terminated as a result of (a) a Non-Renewal by the Company or (b) a Change in Control Termination. The obligation of the Company to make payments to or on behalf of the Employee under Section 13.2(ii12.2(ii), Section 13.3(ii12.3(ii), Section 13.4(ii12.4(ii) or Section 13.5(ii12.5(ii) above is expressly conditioned upon the Employee’s continued performance of the Employee’s obligations under the Compliance Agreement.
