Compliance; Licenses. The Contractor shall comply with the Necessary Permits and all applicable laws, ordinances and codes of any governmental body having jurisdiction over any matter related to the construction contract or the services to be performed thereunder and shall commit no trespass on any private property in connection with the completion of the Trail Improvements. The Contractor will be required to comply with applicable Connecticut Prevailing Wage laws and requirements. The Contractor will be required to be hold valid Connecticut licenses for the performance of the construction of the Trail Improvements.

Each of the Company and the Partnership is duly qualified to do business as a foreign corporation or partnership in good standing in those jurisdictions in which the ownership and operation of its business requires such qualification. Section 2.10 of the Seller Disclosure Schedule contains a true and complete list of all material licenses, permits, approvals, franchises and other authorizations as are necessary in order to enable each of the Company and the Partnership to own and conduct its business.
