Compliance of Stockholder with This Agreement. Each Stockholder shall take all actions and forbear from all actions, in each case, necessary in order that (a) all of such Stockholder's representations and warranties hereunder are true and correct and (b) such Stockholder fulfills all of its obligations hereunder.
