Common use of Compliance with Applicable Law and Governing Documents Clause in Contracts

Compliance with Applicable Law and Governing Documents. With respect to all matters relating to its performance under this Agreement, Subadviser and its directors, officers, partners, employees and interested persons will act in accordance with all applicable law. Subadviser will act in accordance with the Corporation's governing instruments and regulatory filings, including the Corporation's Articles of Incorporation, By-Laws, currently effective Registration Statement under the 1940 Act and the 1933 Act and Notice of Eligibility under Rule 4.5 of the Commodity Exchange Act (the "CEA") (collectively, "Governing Instruments and Regulatory Filings") and any instructions or directions of the Corporation, its Board of Directors or Adviser which whenever practicable the Adviser or the Corporation shall provide in writing. Adviser will provide Subadviser with any amendments, supplements or other changes to the Governing Instruments and Regulatory Filings as soon as practicable after such materials become available, and upon receipt Subadviser will act in accordance with such amendments, supplements or other changes.

Adviser will provide Subadviser with any amendments, supplements or other changes to the Governing Instruments and Regulatory Filings as soon as practicable after such materials become available, and upon receipt receipt, Subadviser will act in accordance with such amendments, supplements or other changes.

Adviser has provided to Subadviser copies of, or provided access to, all Governing Instruments and Regulatory Filings and will provide Subadviser with any amendments, supplements or other changes to the Governing Instruments and Regulatory Filings as soon as practicable after such materials become available, and upon receipt receipt, Subadviser will act in accordance with such amendments, supplements or other changes.

Adviser will promptly provide Subadviser with any material amendments, supplements or other changes to the Governing Instruments and Regulatory Filings as soon as practicable after such materials become availableFilings, and upon receipt receipt, Subadviser will act in accordance with such amendments, supplements or other changes.

Adviser will promptly provide Subadviser with any material amendments, supplements or other changes to the Governing Instruments and Regulatory Filings as soon as practicable after such materials become availableFilings, and upon receipt receipt, Subadviser will act in accordance with such amendments, supplements or other changes.

Subadviser will act in accordance , including the 1940 Act, the 1933 Act, the CEA and the rules and regulations adopted thereunder, and with the Corporation's ’s governing instruments and regulatory filings, including the Corporation's ’s Articles of Incorporation, as amended, By-Laws, currently effective Registration Statement Prospectus, filings made by the Adviser under the CEA and related regulations with respect to the Funds and compliance policies and procedures adopted pursuant to Rule 38a-1 under the 1940 Act and Act, copies of which the 1933 Act and Notice of Eligibility under Rule 4.5 of Adviser has provided to the Commodity Exchange Act (Subadviser prior to the "CEA") date hereof (collectively, "“Governing Instruments and Regulatory Filings") ”), and any reasonable instructions or directions of the Corporation, its Board of Directors the Board, or Adviser which whenever practicable the Adviser or provided to the Corporation shall provide Subadviser in writing. The Adviser has provided the Subadviser with the Governing Instruments and Regulatory Filings and will provide the Subadviser with any amendments, supplements or other changes to the Governing Instruments and Regulatory Filings as soon as practicable after such materials become available, and upon receipt receipt, the Subadviser will act in accordance with such amendments, supplements or other changes.
