The Subadviser's Services. The Subadviser will serve the Manager as investment counsel with respect to the Series. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Series as set forth in the current Prospectus and Statement of Additional Information of the Trust (including amendments) furnished to the Subadviser and in accordance with the Declaration of Trust and By-laws of the Trust, as both may be amended from time to time and furnished to the Subadviser, governing the offering of its shares and subject to such resolutions, policies and procedures as from time to time may be adopted by the Trustees of the Trust and furnished to the Subadviser, to develop, recommend and implement such investment program and strategy for the Series, to provide research and analysis relative to the investment program and investments of the Series, to determine what securities should be purchased and sold and to monitor on a continuing basis the performance of the portfolio securities of the Series. In addition, the Subadviser will place orders for the purchase and sale of portfolio securities and, subject to the provisions of the following paragraph, will take reasonable steps to assure that portfolio transactions are effected at the best price and execution available. The Subadviser will advise the Fund's custodian and the Manager on a prompt basis of each purchase and sale of a portfolio security specifying the name of the issuer, the CUSIP number (if available), the description and amount or number of shares of the security purchased, the market price, commission and gross or net price, trade date, settlement date and identity of the effecting broker or dealer. From time to time as the Trustees of the Trust or the Manager may reasonably request, the Subadviser will furnish to the Manager, Trust's officers and to each of its Trustees reports on portfolio transactions and reports on assets held in the Series, all in such detail as the Trust or the Manager may reasonably request. The Subadviser will also inform the Manager, Trust's officers and Trustees on a current basis of changes in investment strategy or tactics or any other developments materially affecting the Series. The Subadviser's Services. (a) Within the framework of the fundamental policies, investment objectives, and investment restrictions of the Fund, and subject to the supervision and review of the Adviser and of the Directors of the Corporation, the Subadviser shall have the sole and exclusive responsibility for the making of all investment decisions for that portion of the Fund’s portfolio as designated by the Adviser (the “Portfolio”), including the purchase, retention and disposition of securities, in accordance with the Fund’s investment objectives, policies and restrictions as stated in the Corporation’s Registration Statement, including the Prospectus and Statement of Additional Information (such Registration Statement, as currently in effect and as amended or supplemented from time to time, collectively called the “Prospectus”) and subject to the following understandings: (i) The Subadviser shall supervise the Portfolio’s investments and determine from time to time what securities will be purchased, retained, sold or loaned by the Portfolio, and what portion of the assets will be invested or held uninvested as cash. (ii) In performance of its duties and obligations under this Agreement, the Subadviser shall act in conformity with the Corporation’s Articles of Incorporation and By-Laws; the Fund’s Prospectus, policies and procedures; and with the instructions and directions received in writing from the Adviser or the Directors of the Corporation and will conform to and comply with the requirements of the 1940 Act, the Internal Revenue Code of 1986, as amended (including the requirements for qualification as a regulated investment company) and all other applicable federal and state laws and regulations. (iii) As of the date of this Agreement 100% of the Fund’s investable assets will be allocated to the Portfolio; provided, however, that the Adviser has the right at any time to reallocate the portion of the Fund’s assets allocated to the Portfolio pursuant to this Agreement if the Adviser deems such reallocation appropriate. (b) The Subadviser shall not be responsible for the provision of administrative, bookkeeping or accounting services to the Fund, except as otherwise provided herein or as may be necessary for the Subadviser to supply to the Adviser, the Corporation or its Directors the information required to be supplied under this Agreement. The Subadviser's Services. (a) The Subadviser shall, to the extent reasonably required in the conduct of the business of the Portfolio and upon request by the Portfolio or the Manager, (i) identify, analyze and make investment recommendations regarding real estate industry companies, including the real estate properties and other permissible investments of the Portfolio, (ii) analyze market conditions affecting the real estate industry generally and specific geographical and securities markets in which the Portfolio may invest or is invested, (iii) continuously review and analyze the investments in the Portfolio's portfolio, and (iv) furnish to the Manager and the Portfolio advisory reports based on such analysis. The Subadviser shall use its best efforts in the preparation of such reports and will endeavor to consult the persons and sources believed by it to have information available with respect to the contents of such reports. The Subadviser shall use its best efforts to ensure that any recommendations it makes to the Manager regarding the purchase and sale of portfolio securities are in compliance with the provisions of the Trust's Declaration of Trust and By-laws and the 1940 Act, and with the investment objectives, policies and restrictions (including, without limitation, the requirements of Subchapter M of the Internal Revenue Code of 1986, as amended, for qualification as a regulated investment company) of the Portfolio, as each of the same shall be from time to time in effect as set forth in the Portfolio's Prospectus and Statement of Additional Information, or any investment guidelines or other instructions received in writing from the Manager, and subject, further, to such policies and instructions as the Manager may from time to time establish and deliver to the Subadviser. Notwithstanding the foregoing, pursuant to the terms of the Management Contract, the Manager is solely responsible for the day-to-day management of the Portfolio's investment portfolio and for ensuring that the Portfolio's investments comply with the Trust's Declaration of Trust and By-laws and the 1940 Act, and with the investment objectives, policies and restrictions of the Portfolio. The Subadviser's Services. (a) The Subadviser shall act as investment adviser with respect to such portion of the Fund's assets as the Manager designates from time to time. In such capacity, the Subadviser will, subject to the supervision of the Manager, manage the investment and reinvestment of the assets of the Fund, continuously review and analyze the investments in the Fund's portfolio and furnish reports to the Manager regarding such investments.
