Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by INX, and the completion of the transactions contemplated hereby, will not conflict with nor constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of INX under:
(a) any term or provision of any of the constating documents of INX or any director or shareholder minutes;
(b) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which any INX is a party; or
(c) any term or provision of any License or any order or decree of any court, Governmental Entity or regulatory body or any Law or regulation of any jurisdiction.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by the Optionor, and the completion of the transactions contemplated hereby, will not conflict with nor constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of the Optionor under:
(a) any term or provision of any of the constating documents of the Optionor or any director or shareholder minutes; or
(b) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which the Optionor is a party; or
(c) any term or provision of any License or any order or decree of any court, Governmental Entity or regulatory body or any Applicable Law or regulation of any jurisdiction.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Valdy, and the completion of the transactions contemplated hereby, will not conflict with nor constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of Valdy under:
(a) any term or provision of any of the constating documents of Valdy or any director or shareholder minutes; or
(b) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Valdy is a party; or
(c) any term or provision of any License or any order or decree of any court, Governmental Entity or regulatory body or any Law or regulation of any jurisdiction.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by SafeCoat, and the completion of the transactions contemplated hereby, will not conflict with nor constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of SafeCoat under:
(o) any term or provision of any of the Organizational Documents of SafeCoat or any director or shareholder minutes; or
(p) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which SafeCoat is a party; or
(q) any term or provision of any License or any order or decree of any court, Governmental Body or regulatory body or any Applicable Law or regulation of any jurisdiction.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Sonora Copper and the Subsidiary and the completion of the transactions contemplated hereby, will not constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of Sonora Copper or any of the Subsidiary under:
(a) any term or provision of the applicable constating documents; or
(b) subject to obtaining the contractual consents referred to in Schedule 3.1(4) hereof, if any, the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which any of Sonora Copper or the Subsidiary is a party or by which either of them is bound; or
(c) subject to obtaining the regulatory consents referred to in Schedule 3.1(4) hereof, any term or provision of any of the Licenses or any order of any court, governmental authority or regulatory body or any law or regulation of any jurisdiction.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein, and the completion of the transactions contemplated hereby, will not conflict with nor constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of the Company under:
(i) any term or provision of any of the constating documents of Till or the Company or any director or shareholder minutes; or
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which any of the Company, or Till is a party or by which any of them is bound; or
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement or the other agreements set forth herein and the completion of the Purchase will not constitute or result in a violation of any Applicable Law or a violation or breach of or default under, or cause the acceleration of any obligations under:
(a) any term or provision of any of the articles of incorporation or certificate of incorporation, as applicable, by-laws or other charter documents of any of the Corporations;
(b) subject to obtaining the contractual consents disclosed in Disclosure Schedule 3.7(5), the terms of any Contract, agreement (written or oral), indenture, instrument or understanding or other obligation or restriction or Lease to which any of the Corporations or any of the Vendors is a party or by which any of them is bound; or
(c) subject to obtaining any regulatory consents disclosed in the Disclosure Schedule, any term or provision of any of the Authorizations, any order of any court or Governmental Authority or regulatory body or any Applicable Law of any jurisdiction in which the Business is carried on; which individually or in the aggregate would have a Material Adverse Effect on the Corporations.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and the completion of the Purchase will not constitute or result in a violation of any Applicable Law or a violation or breach of or default under, or cause the acceleration of any obligations under:
(a) any term or provision of any of the articles, by-laws or other charter documents of the Purchaser or the Parent;
(b) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction or lease to which the Purchaser or the Parent is a party or by which it is bound; or
(c) any term or provision of any of the Authorizations, any order of any court or Governmental Authority or regulatory body or any Applicable Law of any jurisdiction in which the business of the Purchaser or the Parent is carried on; which individually or in the aggregate would have a Material Adverse Effect on the Parent or the Purchaser.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Sonora Gold and the Subsidiaries and the completion of the transactions contemplated hereby, will not constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of Sonora Gold or any of the Subsidiaries under:
(a) any term or provision of the applicable constating documents; or
(b) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which any of Sonora Gold or any of the Subidiaries is a party or by which either of them is bound; or
(c) any term or provision of any of the Licenses or any order of any court, governmental authority or regulatory body or any law or regulation of any jurisdiction.
Compliance with Charter Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein, and the completion of the transactions contemplated hereby, will not conflict with nor constitute or result in a violation or material breach of or material default under, or cause the acceleration of any obligations of either Company under:
(i) any term or provision of any of the constating documents of the Company or any director or shareholder minutes; or
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which any of the Company, or OPUS is a party or by which any of them is bound; or
(iii) any term or provision of any order or decree of any court, governmental authority or regulatory body or any law or regulation of any jurisdiction.
