Compliance with Continuing Obligations. Employee reaffirms his/her continuing obligations under Sections 11 and 12 of the Employment Agreement and under the Confidential Proprietary Rights and Non-Disclosure Agreement; Employee acknowledges and agrees that the payments and benefits provided by Section 2 of this Agreement shall be subject to Employee’s continued compliance with these obligations; provided however, for purposes of clarity, the Parties agree and acknowledge that the period of Employee’s post- termination non-solicitation and non-competition obligations shall commence on the Separation Date without regard to the commencement or duration of the Transition Period.

Compliance with Continuing Obligations. Employee reaffirms his/her continuing obligations under the Confidential Proprietary Rights and Non-Disclosure Agreement dated November 5, 2012 and under all similar agreements executed during the course of Employee’s employment by the Company (collectively, the “Confidentiality Agreements”). Employee acknowledges and agrees that the payments and benefits provided by Section 2 of this Agreement shall be subject to Employee’s continued compliance with Employee’s obligations under the Confidentiality Agreements. To accept the terms of this Separation Agreement and Consulting Agreement and General Release, Employee must sign, date and return a copy to Xxx Xxxxxxx, Senior Director, Corporate Law, Sarepta Therapeutics, Inc., 000 Xxxxx Xxxxxx, Xxxxxxxxx, XX, 00000, within twenty-one (21) days.

  • Compliance with Obligations Buyer must have performed and complied with all its covenants and obligations required by this Agreement to be performed or complied with at or prior to Closing (singularly and in the aggregate) in all material respects.

  • Compliance with Commitments Immediately after giving effect to the making of any such Extension of Credit (and the application of the proceeds thereof), (i) the sum of the aggregate principal amount of outstanding Revolving Loans plus outstanding Swingline Loans plus outstanding LOC Obligations shall not exceed the Revolving Committed Amount then in effect, (ii) the outstanding LOC Obligations shall not exceed the LOC Committed Amount, and (iii) the outstanding Swingline Loans shall not exceed the Swingline Committed Amount.
