Accordingly, the Executive agrees that if the Executive breaches, or proposes to breach, any portion of the Continuing Obligations, the Company will be entitled, in addition to all other remedies that it may have, to an injunction or other appropriate equitable relief to restrain any such breach without showing or proving any actual damage to the Company.
The Executive acknowledges and agrees that ongoing compliance with the Continuing Obligations is a condition to receiving the Consideration.
The Executive agrees that it would be difficult to measure any damages caused to the Company resulting from any breach by the Executive of the Continuing Obligations, and that money damages would be an inadequate remedy for any such breach.
All of the Executive’s entitlements set forth in Section 3(f) are conditioned upon (1) the Executive’s signing a separation agreement and release in substantially the same form attached hereto as Exhibit A, which agreement and release must become irrevocable within 60 days after the Termination Date, and (2) the Executive’s ongoing compliance with the Continuing Obligations.
