Compliance with Contracts and Regulations. Seller has complied with all Applicable Requirements with respect to its business and business practices.
Compliance with Contracts and Regulations. Prior to each Closing Date, Seller will have complied with all material obligations under all contracts to which it was a party, and under Applicable Law, to the extent that such obligations might affect any of the Mortgage Loans being purchased by Purchaser hereunder. Seller has done and Seller will do, no act or thing which may adversely affect the Mortgage Loans.
Compliance with Contracts and Regulations. Broker has complied with all Applicable Requirements with respect to the conduct of itsbusiness.
a. Fair Lending: The federal Equal Credit Opportunity Act (ECOA) (15 U.S.C. §§ 1691 et seq.) and its implementing regulation, Regulation B (12 C.F.R. Part 202), prohibit discrimination in any aspect of a credit transaction. The prohibited bases of discrimination under the ECOA are the following: race; religion; national origin; sex; marital status; age (provided that the applicant has the capacity to enter a binding contract); the applicant’s receipt of income through a public assistance program; and the good faith exercise of the applicant of a right under the federal Consumer Credit Protection Act (15 U.S. U.S.C. §§ 1601 et seq.).
Compliance with Contracts and Regulations. Subservicer has complied with all material obligations under all contracts to which it is or was a party, and with all applicable federal, state and local laws and regulations with respect to and which affect the servicing of the Mortgage Loans. The laws and regulations which Subservicer has complied with include but are not limited to all applicable Agency Requirements. Subservicer has done, and will do, no act or thing which will materially adversely affect the servicing of the Mortgage Loans or the Mortgage Loans.
Compliance with Contracts and Regulations. Seller has complied with all of its obligations under all contracts which relate to the origination and servicing of mortgage loans, and with all applicable laws, regulations, and policies, including, without limitation, those of the Federal Housing Administration, the Veterans Administration, FNMA, FHLMC, or private mortgage insurers, with respect to any of the loans originated and serviced by Seller under this Master Commitment.
Compliance with Contracts and Regulations. Seller has complied with all Applicable Requirements with respect to all of the Loans.

Seller has complied with all applicable laws and the regulations of FNMA, FHLMC, GNMA, FHA, VA or any other governmental or quasi-governmental agencies having jurisdiction with respect to, and which might affect, any of the Mortgages being purchased by Purchaser hereunder, and Seller has done no act or thing which may cause the cancellation of or otherwise adversely affect the Mortgages, or any one thereof, or the private mortgage insurance with respect to any of the Mortgages. The assignment of the Mortgages and related documents pursuant to, and in accordance with, the terms and conditions of this Agreement will transfer and assign to Purchaser valid and complete right, title and interest in the Mortgages and Servicing free and clear of any and all claims, charges, defenses, offsets and encumbrances of any kind or nature whatsoever.
Compliance with Contracts and Regulations. Seller and MLCC have complied with all applicable (i) agreements and contracts and (ii) federal, state and local laws and regulations, with respect to any of the Mortgage Loans.

On or before the Sale Date, Seller will have complied with all of its obligations under all other contracts to which it is a party and with all applicable laws and regulations only to the extent that failure to do so might materially adversely affect any of the Servicing and assets being purchased by Purchaser hereunder, and Seller has not done and will not do any act or thing which may cause the cancellation of or otherwise materially adversely affect any of the Servicing or the mortgage insurance or guaranty with respect to any of the Loans, the servicing of which is being transferred to Purchaser.
