Each Partner represents and warrants that it is purchasing its Partnership Interest as an investment and not for distribution within the meaning of any applicable United States federal and state securities laws and regulations. Any Partner who commits any act or fails to take any act that results in a breach of such representation and warranty shall, and hereby agrees to, indemnify and hold harmless all other Partners and the Partnership from any claims, demand, suits, losses, judgments, liabilities and damages, including reasonable attorneys' fees and disbursements, arising out of or in any way connected with such act or omission.
