Common use of Compliance with Laws, Contracts, Licenses, and Permits Clause in Contracts

Compliance with Laws, Contracts, Licenses, and Permits. The Borrower will, and will cause each of its Subsidiaries to, comply with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents), (c) all agreements and instruments by which it or any of its properties may be bound and (d) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof.

Compliance with Laws, Contracts, Licenses, and Permits. The Borrower willand the Trust will comply with, and will cause each of its their respective Subsidiaries toto comply in all respects with, comply with (ai) the all applicable laws and regulations now or hereafter in effect wherever its business is conducted, including all Environmental Laws, (bii) the provisions of its corporate charter, partnership agreement or declaration of trust, as the case may be, and other charter documents and by-laws (or equivalent constitutive documents)bylaws, (ciii) all agreements and instruments to which it is a party or by which it or any of its properties may be bound and bound, (div) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on and (v) all licenses and permits required by applicable laws and regulations for the businessconduct of its business or the ownership, assets use or financial condition operation of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a partyproperties. If at any time while any Loan, Note or Letter of Credit is outstanding or the Banks have any obligation to make Loans or issue Letters of Credit hereunder, any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or the Guarantors may fulfill any of its obligations hereunder or any of under the other Loan Documents to which the Borrower is a partyDocuments, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower necessary to obtain or cause such Guarantor or Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.

If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower or such Subsidiary is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.

If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower Borrowers or any of their Subsidiaries may fulfill any of its their obligations hereunder or any of the other Loan Documents to which the any Borrower or such Subsidiary is a party, the Borrower Borrowers will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower Borrowers or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof. Without limiting the foregoing, each of the Borrowers will, and will cause each of its Subsidiaries to, obtain any and all approvals by any federal, state or local liquor authority necessary for the continued operation at all times of any Restaurant operated by any of the Borrowers or their Subsidiaries with full liquor service unless the failure to obtain such approvals would not have a Material Adverse Effect.

The Borrower Each of the Borrowers will, and will cause each of its their Subsidiaries to, comply in all material respects with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents)Governing Documents, (c) all agreements and instruments by which it or any of its properties may be bound and (d) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower Borrowers or any of their Subsidiaries may fulfill any of its their obligations hereunder or any of the other Loan Documents to which the any Borrower or such Subsidiary is a party, the Borrower Borrowers will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower Borrowers or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof. Without limiting the foregoing, each of the Borrowers will, and will cause each of its Subsidiaries to, obtain any and all approvals by any federal, state or local liquor authority necessary for the continued operation at all times of any Restaurant operated by the Borrowers or their Subsidiaries with full liquor service unless the failure to obtain such approvals would not have a Material Adverse Effect.

The Borrower Each of the Borrowers will, and will cause each of its Subsidiaries to, comply with (ai) the applicable laws and regulations wherever its business is conducted, including all Environmental LawsLaws and the Fair Labor Standards Act, (bii) the provisions of its charter documents and by-laws (or equivalent constitutive documents)laws, (ciii) all agreements and instruments including insurance policies by which it or any of its properties may be bound and (div) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that any of the Borrower Borrowers or their Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the such Borrower or such Subsidiary is a party, the such Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the such Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof. Without limiting the foregoing, each of the Borrowers will, and will cause each of its Subsidiaries to, obtain any and all approvals by any federal, state, provincial or local liquor authority necessary for the continued operation at all times of any Unit operated by any of the Borrowers or their Subsidiaries with full liquor service.

If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower or such Subsidiary is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.

The Each Borrower will, will and will cause each of its Subsidiaries to, to comply with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (bi) the provisions of its charter documents and by-laws (or equivalent constitutive documents), (c) and all agreements and instruments by which it or any of its properties may be bound bound; and (dii) all applicable laws and regulations (including Environmental Laws), decrees, orders, orders and judgments, in each case if judgments (“Applicable Laws”) except where noncompliance with which such Applicable Laws would not have a material adverse effect in the aggregate on the businessfinancial condition, assets properties or financial condition business of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the any Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or Subsidiary. If at any time while any of the other Loan Documents Obligations are outstanding or the Agent or any Lender has any obligation to which such Person is a party. If make Loans or to issue Letters of Credit hereunder, any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the any Borrower may fulfill any of its obligations hereunder or any of the other Loan Documents to which the hereunder, such Borrower is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the such Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders each Lender with evidence thereof.

Compliance with Laws, Contracts, Licenses, and Permits. The Borrower will, and will cause each of its Subsidiaries to, comply with (ai) the applicable laws and regulations wherever its business is conducted, including including, without limitation, all Environmental LawsLaws and OSHA, (bii) the provisions of its charter documents and by-laws (or equivalent constitutive documents)laws, (ciii) all agreements and instruments by which it or any of its properties may be bound and (div) all applicable decrees, orders, and judgments, except, in each the case if noncompliance with which would of items (i), (iii), and (iv) only, such non-compliance as could not reasonably be expected to have a material adverse effect on the business, assets or condition (financial condition or otherwise) of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower or such Subsidiary is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Facility Agent and the Lenders with evidence thereof.

The Borrower will, and will cause each of its Subsidiaries to, comply comply, in all material respects, with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents)Governing Documents, (c) all agreements and instruments by which it or any of its properties may be bound and (d) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower or such Subsidiary is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Lender with evidence thereof.

If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or under any of the other Loan Documents to which the Borrower or such Subsidiary is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof.

The Borrower will, and will cause each of its Material Subsidiaries to, comply with (a) the applicable laws and regulations wherever wheresoever its business is conducted, including all Environmental LawsLaws which may be in effect from time to time, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents)laws, (c) all agreements and instruments by which it or any of its properties or business may be bound and (d) all applicable decrees, orders, and judgments, if in each such case if noncompliance with which would failure to comply could reasonably be expected to have a material materially adverse effect on the business, assets or financial condition of the Borrower and its Material Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If at any time any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower may pay, perform or otherwise fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower is a partyObligations, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately promptly take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof.. §

The Borrower will, Company will and will cause each of its Subsidiaries to, to comply with (ai) the applicable laws and regulations wherever its business is conducted, including including, without limitation, all Environmental Lawsenvironmental laws, rules and regulations, the Investment Company Act and the Investment Advisers Act, except to the extent that any failure to comply with any of the foregoing would not have a material adverse effect on the business of the Company or any of its Subsidiaries, (bii) the provisions of its charter documents and by-laws (or equivalent constitutive documents)laws, (ciii) all agreements and instruments by which it or any of its properties may be bound bound, except to the extent that any failure to comply with any of the foregoing would not have a material adverse effect on the business of the Company or any of its Subsidiaries, and (div) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If at any time while any Loan or Note is outstanding or the Bank has any obligation to make Advances hereunder, any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower Company or any of its Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower is a partyhereunder, the Borrower will, or (as the case may be) Company will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary Company to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Bank with evidence thereof.

The Borrower will, and will cause each of its Subsidiaries to, comply with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents)laws, (c) and all agreements and instruments by which it or any of its properties may be bound and (d) all applicable decreesexcept to the extent that such non-compliance will not materially adversely affect the properties, ordersassets, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition or business of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a partyand (c) all applicable decrees, orders, and judgments. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower is a partyDocuments, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.

Compliance with Laws, Contracts, Licenses, and Permits. The ------------------------------------------------------ Borrower will, and will cause each of its Subsidiaries to, comply with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents)laws, (c) all agreements and instruments by which it or any of its properties may be bound and (d) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower or any of its Subsidiaries may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower or such Subsidiary is a party, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.

Compliance with Laws, Contracts, Licenses, and Permits. The ----------------------------------------------------- Borrower will, will and will cause each of its Subsidiaries to, to comply (i) in all material respects with (a) the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) the provisions of its charter documents and by-laws (or equivalent constitutive documents), (c) and all agreements and instruments by which it or any of its properties may be bound bound; and (dii) with all applicable laws and regulations (including Environmental Laws), and decrees, ordersorders and judgments ("Applicable Laws"), and judgments, in each case if except where noncompliance with which such agreements, instruments or Applicable Laws would not have a material adverse effect in the aggregate on the businessfinancial condition, assets properties or financial condition business of the Borrower and its Subsidiaries, Subsidiaries taken as a whole. If at any time while any Note, any Loan, or on any Letter of Credit is outstanding or the ability Lenders have any obligation to make Loans or the Managing Agent or the Issuing Lender has any obligation to issue, extend, or renew Letters of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a party. If hereunder, any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower is a partyhereunder, the Borrower will, or (as the case may be) will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent Agents and the Lenders with evidence thereof.

Compliance with Laws, Contracts, Licenses, and Permits. The Borrower will, and will cause BPI to, comply with, and will cause each of its their respective Subsidiaries to, to comply with (a) the all applicable laws and regulations now or hereafter in effect wherever its business is conducted, including including, without limitation, all Environmental LawsLaws and all applicable federal and state securities laws, (b) the provisions of its partnership agreement or corporate charter and other charter documents and by-laws (or equivalent constitutive documents)laws, as applicable, (c) all material agreements and instruments to which it is a party or by which it or any of its properties may be bound (including the Real Estate Assets and the Leases) and (d) all applicable decrees, orders, and judgments, in each case if noncompliance with which would have unless such non-compliance does not relate to BPLP or BPI and constitutes a material adverse effect on the business, assets or financial condition of the Borrower and its Subsidiaries, taken as a whole, or on the ability of the Borrower or any of the Guarantors to fulfill its obligations under this Credit Agreement or any of the other Loan Documents to which such Person is a partyNon-Material Breach. If at any authorizationtime while any Loan or Revolving Credit Note or Letter of Credit is outstanding or the Banks have any obligation to make Loans or issue Letters of Credit hereunder, consent, approval, permit or license from any officer, agency or instrumentality of any government Permit shall become necessary or required in order that the Borrower may fulfill any of its obligations hereunder or any of the other Loan Documents to which the Borrower is a partyhereunder, the Borrower will, or (as the case may be) and BPI and their respective Subsidiaries will cause such Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower or such Subsidiary BPI, as applicable, to obtain such authorization, consent, approval, permit or license Permit and furnish the Administrative Agent and the Lenders with evidence thereof.
