Compliance with Legal Process. In the event that the Party ----------------------------------- receiving any Information is legally requested or required (by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process or, in the opinion of outside counsel for such Party, by federal or state securities or other statutes, regulations or laws) to disclose any Information, such Party shall promptly notify the disclosing Party of such request or requirement prior to disclosure so that the disclosing Party may seek an appropriate protective order and/or waive compliance with the terms of this Agreement. If, however, in the opinion of outside counsel for the receiving Party such Party is nonetheless, in the absence of such order or waiver, compelled to disclose such Information or otherwise stand liable for contempt or suffer possible censure or other penalty or liability, then the receiving Party may disclose such information without liability to the other Party hereunder.

In If the event that the Party ----------------------------------- party receiving any Information is legally requested required to (i) disclose the same to any government agency or required court of competent jurisdiction by written order, subpoena or decree, or (by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process or, ii) publicly disclose such Information in the opinion of outside counsel for such Party, by accordance with applicable federal or state securities law or other statutes, regulations or laws) to disclose any Informationregulation, such Party party shall promptly notify the disclosing Party of such request or requirement other party prior to disclosure so that the disclosing Party other party may seek an appropriate protective order order, review and recommend changes to any such disclosure, simultaneously file and/or disseminate a related disclosure or public statement, and/or waive compliance with the terms of this Agreement. If, however, in the opinion of outside counsel for the receiving Party party such Party party is nonetheless, in the absence of such order or waiver, compelled to disclose such Information or otherwise else stand liable for contempt or suffer possible censure or other contempt, penalty or liability, then the receiving Party party may disclose such information Information without liability to the other Party party hereunder.
