Appointment and Authority of Manager. Provider appoints and engages Manager as Provider’s sole and exclusive agent for the management and administration of the business functions and business affairs of Provider Headquarters and the Wound Care Business, and Manager accepts such appointment and engagement. Provider delegates, grants and conveys to Manager sole responsibility and commensurate authority to provide Management Services for Provider Headquarters and the Wound Care Business. Provider expressly authorizes Manager to provide the Management Services in any reasonable manner Manager deems appropriate to meet the day-to-day requirements of the business functions of Provider while also promoting the best interests of Provider. For the avoidance of doubt, nothing in this Agreement, however, shall be interpreted to authorize Manager to sell, license or otherwise transfer any interest in any assets of the Non Wound Care Business, including any technology, therapies, or other Intellectual Property Rights of the Non Wound Care Business.

Appointment and Authority of Manager. Company hereby employs Manager to manage the business and affairs of Company of every kind and character whatsoever, beginning with the date of this contact and continuing until terminated as provided herein. The Manager is granted and shall have the responsibility of management of the business of Company, including the exclusive right of soliciting and issuing all policies of insurance for Company and the right and privilege of collecting all premiums due on policies heretofore issued or hereafter issued by Company and of performing all acts in the name of Company being necessary and proper to accomplish such end. The Manager is hereby authorized to delegate by contract any, but not all, of the obligations under this Contract to any other person, firm, or corporation. However, no such delegation shall relieve the Manager of its responsibilities to Company under this Contract. Manager's authority as manager of Company shall be complete and without limitation except any authority which must by law be retained by Company.

The Members agree that the Manager shall have the broadest powers and authority permissible under the Act, including taking, or cause the Company to take, any of the following actions:
(i) selling all or substantially all of the business or sale, lease, or other disposition of all or a substantial portion of the assets of the Company or any of its subsidiaries;
(ii) converting, merging or consolidating, or recapitalizing of, the Company or any of its subsidiaries;
(iii) acquiring any interest in any Person (whether by a purchase of assets, purchase of equity, merger or otherwise), entering into any joint venture or making any investments in any other Person.
(iv) making any loan, guarantee, or other incurrence of any other indebtedness by the Company;
(v) declaring of any capital call or request for loans or other funds from any Member(s) or entering into any loans with any Member;
(vi) issuing additional Interests in the Company;
(vii) encumbering any assets of the Company;
(viii) entering into any contract, agreement or other arrangement creating obligations or liabilities of the Company;
(ix) taking any action relating to bankruptcy, voluntary insolvency, dissolution, liquidation, restructure, any arrangement with creditors regarding the settlement or restructure of debt, recapitalization, reorganization or similar action for the Company or any of its subsidiaries including the filing of a petition, the appointment of a trustee or receiver, an assignment for the benefit of creditors, and any plan for the repayment of one or more creditors;

MPFBA hereby appoints the Manager to oversee, on MPFBA’s behalf, the operations of the Operating Partnerships under their respective Partnership Agreements and the Plan, including but not limited to, (a) collection of all funds for MPFBA as provided in the Plan or the Operating Partnerships’ Partnership Agreements (b) review of all K-l’s or tax returns relating to MPFBA’s interests in the Operating Partnerships, and (c) obtaining tax information relating to MPFBAs’ interests in the Operating Partnerships.
