Common use of Compliance with Material Contracts Clause in Contracts

Compliance with Material Contracts. It will comply in all material respects with all obligations, terms, conditions and covenants, as applicable, in all Debt applicable to it and all instruments and agreements related thereto, and all other instruments and agreements to which it is a party or by which it is bound or any of its properties is affected and in respect of which the failure to comply reasonably could have a Material Adverse Effect.

Compliance with Material Contracts. It will comply in all material respects Comply (a) with all obligations, terms, conditions and of its covenants, as applicableagreements, in all Debt applicable to it undertakings and all instruments and agreements related theretoobligations arising under, and fulfill all other instruments and agreements of its obligations under, each Material Contract to which it is a party or by which it is bound or any of its properties is affected and in respect of which the failure party, except as could not reasonably be expected to comply reasonably could have a Material Adverse Effect, and (b) in all respects with all of its covenants, agreements, undertakings and obligations arising under, and fulfill all of its obligations under, each Note Document to which it is a party.
