Compliance with Secondary Disclosure Requirements of the. Securities and Exchange Commission. If the interest rate on any of the Bonds is ---------------------------------- converted to a Term Interest Rate Period of one year or more, the Corporation shall, on or prior to the commencement of such Term Interest Rate Period, enter into a binding agreement or undertaking (the "Undertaking") with the Issuer, the Trustee (acting in a separate capacity and under a separate agreement as dissemination agent) or another dissemination agent, the Remarketing Agent and the Owners of those Bonds, that complies with Rule 15c2-12(b)(5)(i), promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended, in effect on the date of such binding agreement. Failure of the Corporation or the dissemination agent to comply with this Section 7.10 or the Undertaking shall not be considered an Event of Default hereunder or under the Indenture; however the Trustee, acting as dissemination agent, may (and, at the request of the Owners of at least a majority in aggregate principal amount of the Bonds Outstanding, accompanied by indemnity satisfactory to it, shall) or any Owner may, take such actions as may be necessary and appropriate, including seeking specific performance by court order, to cause the Corporation or dissemination agent to comply with its obligations under this Section 7.10 or the Undertaking.

Reg. 67765 (Nov. 13, 2000)), issued under ERISA, and for the avoidance of any doubt as to the applicability of other provisions of this Agreement, to the fullest extent permitted by applicable law and except as contemplated by this Agreement, (1) the Trust shall not be a party to any merger, consolidation or reorganization, or liquidate or sell its assets and (2) so long as any Certificates are outstanding, none of the Company, the Trustee or the Delaware Trustee shall institute against the Trust, or join in any institution against the Trust of, any bankruptcy or insolvency proceedings under any federal or state bankruptcy, insolvency or similar law.

  • Compliance with OFAC None of the Company and its Subsidiaries or, to the Company’s knowledge, any director, officer, agent, employee or affiliate of the Company and its Subsidiaries or any other person acting on behalf of the Company and its Subsidiaries, is currently subject to any U.S. sanctions administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury (“OFAC”), and the Company will not, directly or indirectly, use the proceeds of the Offering hereunder, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person or entity, for the purpose of financing the activities of any person currently subject to any U.S. sanctions administered by OFAC.
