Comply, in all material respects, with all applicable covenants and restrictions of record and all laws, ordinances, rules and regulations and keep the Facility and the Land and Improvements in compliance with all applicable laws, ordinances, rules and regulations, including, without limitation, the Americans with Disabilities Act and regulations promulgated thereunder, and laws, ordinances, rules and regulations relating to zoning, health, building codes, setback requirements, Medicaid and Medicare laws and keep the Permits for the Facility in full force and effect.

Promptly after the date of this Agreement, initiate and thereafter diligently pursue the re-zoning action required to cause the Facility known as Park Place, in New Port Xxxxxx, Florida, to be in compliance with local zoning codes and ordinances within 180 days from the date hereof.
