Composite Returns. The Company shall (i) to the extent permitted by applicable law and to the extent that compliance with this Section 9.03 does not create an unreasonable burden on the Company (as determined in good faith by the Manager), offer to prepare a composite tax return for all eligible Members (and their direct or indirect equityholders) in each state, local or other appropriate jurisdiction (as reasonably determined by the Company’s tax advisors) for each tax year in which taxable income is reported in such jurisdiction, (ii) deliver to each Member, simultaneously with the delivery of a Schedule K-1 pursuant to Section 9.02, a statement setting forth (A) each jurisdiction in which the Company intends to make available a composite return, and the amount of tax payments expected to be made by the Company with respect to such Member, and (B) each jurisdiction in which the Company intends to pay applicable withholding taxes, and the expected amount of such withholding taxes in each such jurisdiction, and (iii) cooperate with the Members to maximize the number of jurisdictions in which the Company files composite returns.

Composite Returns. LSB, or a member of the LSB Group designated by ----------------- LSB, will have exclusive authority to file each state, local or foreign income tax return or other tax return required to be filed by any member of the ClimaChem Group which computes taxes payable to a taxing jurisdiction in respect of the income, operations or assets of two or more corporations (including at least one member of the ClimaChem Group and one member of the LSB Group) based on combined or consolidated reporting or apportionment of business income under the unitary business concept ("Composite Return").
Composite Returns. (i) Tax Returns and Payments. Trilogy or a Trilogy SubGroup Member ------------------------ designated by Trilogy shall have exclusive authority to file each Composite Return. Subject to the terms of this Agreement, Trilogy shall be responsible for the timely filing of, and shall be liable, and shall indemnify each pcOrder SubGroup Member, for any penalties or other damages attributable to failure of Trilogy or its designee to make timely filings of Composite Returns or full and timely payment of all amounts shown to be due thereon; provided, however, that pcOrder shall be responsible for making timely payment to Trilogy of all amounts due to Trilogy by pcOrder pursuant hereto and providing Trilogy or its designee with all information reasonably required by Trilogy or its designee with respect to the income, operations and assets of any pcOrder SubGroup Member so as to permit Trilogy or its designee to prepare and file such Composite Returns and to make payments of the Tax shown to be due thereon, including estimated Tax payments, on a timely basis.
Composite Returns. The Manager may, where permitted by the rules of any Taxing Jurisdiction, file a composite, combined, or aggregate tax return reflecting the income of the Company and pay the tax, interest, and penalties of some or all of the Shareholders on such income to the Taxing Jurisdiction, in which case the Company shall inform the Shareholders of the amount of such tax, interest, and penalties so paid.

  • Separate Returns In the case of any Tax Contest with respect to any Separate Return, the Party having the liability for the Tax pursuant to Article II hereof shall have the sole responsibility and right to control the prosecution of such Tax Contest, including the exclusive right to communicate with agents of the applicable Taxing Authority and to control, resolve, settle, or agree to any deficiency, claim, or adjustment proposed, asserted, or assessed in connection with or as a result of such Tax Contest.
