Computer Support. Seller agrees to provide to Buyer, without additional consideration, access to and support for a period of 90 days after the Closing with respect to the customer management/billing system. Such support shall enable Buyer to operate such systems after the Closing in a manner consistent with the operations before the Closing.
Computer Support. During the period ending on the third anniversary of the Executive's termination of employment, the Company's information services department shall provide support services to the Executive on the same basis as such support services are provided to employees of the Company.
Computer Support. This amount covers computer and data costs related to Program reporting, fiscal management and upgrading the existing Mentor Program Access database calculated at $39,625.00. Program reporting includes generating queries and tables for reports from which program staff write the Annual Report to ELCD; fiscal management includes ongoing interface with the program’s reimbursement website’s backend MS SQL Server, including monitoring and updating data tables; generating monthly vendor pay file to upload to the CLPCCD Banner database to generate stipend and reimbursement payments to Mentor Program participants; generating monthly summary reports to facilitate monthly invoicing to ELCD and ongoing interfacing with ITS at CLPCCD to ensure usability; and upgrading the existing Mentor Program Access database entails culling through hundreds of existing tables, queries and reports to determine which should be discarded and migrating the remaining objects to a MS SQL server. It also includes $9,500.00 for computer services to maintain and enhance the online system and to gather, screen and process Mentor Program payment/reimbursement requests. This system communicates with the larger Mentor Program database via secure links. It also includes $3,000.00 for designing and updating online forms and to maintain, upgrade and enhance the Mentor Program website.
Computer Support. School Board shall maintain the computers at the facility which are designated as KWCS administrative computers to be used for the reporting of student, teacher, attendance and other data collection and information service purposes. School Board shall also provide training to KWCS personnel responsible for data processing at the same time that it provides training for its own personnel or at other times at its discretion and in cooperation with KWCS. Provide KWCS with the administrative programs (TERMS) necessary for data reporting and use of the internet and district email services on all computers, and staff and student access to currently available district owned instructional and educational software. KWCS shall provide proper placement of IDF equipment in a safe environment with air-conditioning 24/7. All KWCS computers must be joined to the MCSD domain to receive proper security patches, virus protection and software/helpdesk support. KWCS shall maintain current student data on TERMS, including District and DOE due dates and reporting timelines. KWCS shall designate a contact person for network and technical assistance issues, KWCS shall utilize the District helpdesk request line for technical and network assistance. KWCS shall add on additional computers or software to computers on the district network only with the approval of School Board to assure that the district system and KWCS system remain compatible. Cost(s) of additional computers, point-to-point access and/or wireless access shall be borne by KWCS.
Computer Support. Company will provide Employee and his secretary with compatible computers and such other computer equipment and software as Company and Employee shall mutually determine.
Computer Support. Irex has provided, and continues to provide, SPI ---------------- with use of, access to and support for certain computer resources consisting of: (i) Irex's computer mainframe and related equipment and notes server; (ii) Irex's JDEdwards software applications, its communications software allowing remote access to the JDEdwards system, its Lotus Notes server software and other related software; and (iii) programming and communication services in connection with the software applications provided (the "Computer System"). Applications available to SPI through the Computer System include, but are not limited to, Address Book, Electronic Mail, Accounts Receivable, Accounts Payable, General Ledger, Financial Reporting, Payroll, Fixed Assets, Inventory Management, Sales Order Processing, Sales Analysis, Purchasing and Human Resources. For the period provided for in this Agreement (the "Service Period"), Irex will continue to provide SPI with such use, access and support, provided that Irex may outsource hardware, software or support services currently provided in-house at its sole discretion. SPI will comply with the non-financial terms, such as confidentiality obligations, of Irex's agreements with Computer System vendors during the Service Period.
(a) During the Service Period, Irex warrants to SPI that the response time, service specifications, and operating capacity of the Computer System will be similar or better in all material respects than that available to SPI prior to the Closing Date. To the extent that the vendor of the frame relay network which Irex is installing provides Irex with guarantees concerning improved response time, Irex will provide those guarantees to SPI.
(b) In the event that the Computer System at any time fails to operate according to the warranted response time, service specifications or operating capacity, Irex will employ its reasonable best efforts to timely address the problem, giving due regard to the impact on SPI's business. Irex, however, shall not be responsible for any loss to SPI resulting from failure of the Computer System to operate according to warranty. SPI's sole remedy for such failure shall be the correction of the failure and a reduction in its payments to Irex for Computer Systems Costs (as defined herein) for the period of failure.
(c) In no event shall Irex be responsible for consequential or incidental damages in connection with the Computer System. Irex shall make available to SPI, or, if necessary, assert ...
Computer Support. For so long as such service is required by Gannett, but in no event after the late of (i) one hundred twenty (120) days after the date of the Sale of Gannett or December 31, 1998, provided only that Maine Media continues to provide similar service for itself or for any of its properties or divisions, at Gannett's request, Maine media shall provide network support for Gannett's computer systems for use by its personnel at its Corporate Office at a rate of Thirty Dollars ($30) per hour.
Computer Support. All report data necessary to monitor LEP students will be done through the district computer data system. Compiling of classroom data, as provided by the teachers, shall be done by support staff at the school site.

During the Transition Period, Sellers shall provide or cause to be provided to Buyers, without additional consideration, access during normal business hours, through Seller Parent's or its Affiliates' personnel, to the customer billing, collection and route management systems used in the Business and will provide such standard reports with respect to the Business as Buyers reasonably require to efficiently operate the Business and to facilitate a smooth transition of the Assets.
Computer Support. The Seller agrees to provide computer services and support to the Company through April 30, 2001 without any charge to the Company except the cost of the direct phone line between the Company and the Seller. Such computer service and support shall consist of the same level of service and support provided to the Company prior to the Closing.
