CONCERNING THE EFFECTIVE DATE; CONDITIONS TO EFFECTIVENESS. The Agents' and the Lenders' obligations to convert their claims against the Borrower under this Credit Agreement and the obligation of the Lenders to make the Revolving Credit Loans and of the Issuing Bank to issue, extend or renew any Letters of Credit provided for in this Credit Agreement shall be subject to satisfaction of the following conditions precedent on or prior to the Effective Date:
