Condemnation Actions. There are no pending or, to Seller’s knowledge, threatened condemnation actions of any nature with respect to the Property or any part thereof.
Condemnation Actions. As of the Effective Date, to Seller’s Knowledge, (i) Seller has not received written notice of any pending condemnation actions with respect to the Real Property or any material part thereof, and (ii) there is no threatened condemnations action with respect to the Real Property or any material portion thereof.
Condemnation Actions. Except as set forth in Section 3.12 of the Company Disclosure Letter, neither the Company nor the Subsidiary Partnership has received any written notice of and neither of them has knowledge of any pending condemnation action of any nature with respect to any of the Hotels, other than any such actions that, individually or in the aggregate, have not resulted or would not reasonably be expected to result in a Material Adverse Effect with respect to the Company. If, between the date hereof and the Effective Time, the Company or the 33 24 Subsidiary Partnership receives a written notice of or obtains knowledge of, any such pending condemnation action, the Company shall promptly notify the Parent of such notice or knowledge, and the Parent shall have the right to consult with the Company in the settlement of any such condemnation action.
Condemnation Actions. Except as disclosed in Section 4.15 of the Parent Disclosure Letter, neither the Parent, the Operating Partnership nor any of their respective subsidiaries has received any written notice of and none of them has knowledge of any pending condemnation action of any nature with respect to any of the properties 55 46 owned or leased by the Parent or the Operating Partnership or any of such subsidiaries (collectively, the "PARENT PROPERTIES") other than any such action that, individually or in the aggregate, has not resulted or would not reasonably be expected to result in a Material Adverse Effect with respect to the Parent or the Operating Partnership. If, between the date hereof and the Effective Time, the Parent, the Operating Partnership or any of such subsidiaries receives a written notice of or obtains knowledge of any such pending condemnation action, the Parent shall promptly notify the Company of such notice or knowledge.
Condemnation Actions. Hotel Seller has not received written notice of any pending or threatened condemnation actions of any nature with respect to the Hotel Seller Property or any part thereof.
Condemnation Actions. Land Seller has not received written notice of any pending or threatened condemnation actions of any nature with respect to the Land Seller Property or any part thereof.
Condemnation Actions. Seller has no actual knowledge and has received no notice of any pending or threatened condemnation actions or special assessments of any nature with respect to the Property or any part thereof.
