Condition of Closing in Favour of the Corporation. The purchase and sale of the Purchased Shares on the Transaction Closing Date and completion of the other transactions contemplated on the Transaction Closing Date is subject to the following conditions that are for the exclusive benefit of LAC: (i) the representations and warranties of BCPI contained in this Agreement shall be true and correct in all material respects at the Time of Closing, other than those that are qualified by materiality, which shall be true and correct in all respects at the Time of Closing with the same force and effect as if such representations and warranties were made at and as of such time and a certificate of BCPI shall be delivered to the Corporation in this respect; (ii) the Corporation shall have obtained all required regulatory approvals, including approval of TSX; and (iii) the Corporation and BCPI shall have settled the definitive form of each of the Off-Take Agreement and the Loan Agreement.

Purchaser acknowledges that it has conducted to its satisfaction, its own independent investigation of the Business and, in making the determination to proceed with the transactions contemplated by this Agreement Purchaser has relied on the results of its own independent investigation.

  • Postponement of Closing If Firm Shares to which a default relates are to be purchased by the non-defaulting Underwriters or by any other party or parties, the Representatives or the Company shall have the right to postpone the First Closing Date for not more than seven business days in order that the necessary changes in the Registration Statement, in the Time of Sale Disclosure Package, in the Prospectus or in any other documents, as well as any other arrangements, may be effected.
