Notwithstanding anything to the contrary in this Preliminary Agreement contained, the Closing and consummation of each of the Transactions shall be subject to the fulfillment of the following Conditions for Closing to the satisfaction of Purchaser (subject to Purchaser's exclusive right to waive fulfillment of the Conditions for Closing).
