CONDITION TO OBLIGATIONS OF THE PARTIES TO CLOSE. The respective obligations of the Seller and Buyer to consummate the purchase and sale of the Shares and the other transactions set forth herein shall be subject to the satisfaction or waiver on or prior to the Scheduled Closing Date of the following condition: The waiting period applicable to the purchase and sale of the Shares provided for herein under the HSR Act shall have expired or been terminated, and there shall be no order or injunction of any court of competent jurisdiction that prohibits the purchase and sale of the Shares provided for herein.
