Common use of Condition to Resignation or Termination Clause in Contracts

Condition to Resignation or Termination. No resignation or (subject to sub-Clause 14.7) termination of the appointment of the Principal Paying Agent shall, however, take effect until a new Principal Paying Agent (which shall be a bank or trust company) has been appointed and no resignation or termination of the appointment of a Paying Agent shall take effect if there would not then be Paying Agents as required by the Conditions.

No resignation or (subject to sub-Clause 14.717.5) termination of the appointment of the Principal Paying Agent shall, however, take effect until a new Principal Paying Agent (which shall be a bank or trust company) has been appointed and no resignation or termination of the appointment of a Paying Agent shall take effect if there would not then be Paying Agents as required by the Conditionsappointed.

No no resignation or (subject to sub-Clause 14.712.9 (Reliance upon written instruments)) termination of the appointment of the Principal Paying Agent, the Registrar or a Transfer Agent shall, however, take effect until a new Principal Paying Agent, Registrar or Transfer Agent (in the case of a Transfer Agent, to the extent no further Transfer Agent is already in office)as the case may be, (which shall be a financial institution, bank or trust company) approved in writing by the Trustee has been appointed and no resignation or termination of the appointment of a Paying Agent shall take effect if there would not then be Paying Agents as required by the Conditionsappointed.
