Common use of Condition to Resignation or Termination Clause in Contracts

Condition to Resignation or Termination. No resignation or (subject to Clause 14) termination of the appointment of the Fiscal Agent or the Registrar shall, however, take effect until a new Fiscal Agent or Registrar, as the case may be, (which in each case shall be a bank or trust company) has been appointed.

No resignation or (subject to Clause 1415.5 (Automatic termination)) termination of the appointment of the Fiscal Agent or the Registrar shall, however, take effect until a new Fiscal Agent or Registrar, as the case may be, Registrar (which in each case shall be a bank or trust companycompany of international repute) has been appointedappointed and no resignation or termination of the appointment of the Paying Agent or Transfer Agent shall take effect if there would not then be Agents as required by the Conditions.
