Conditions of Effectiveness of this Fourth Amendment. This Fourth Amendment shall become effective on the date when the following conditions shall have been satisfied (such date, the “Fourth Amendment Effective Date”):

This Fourth Amendment shall become effective and the New Refinancing Term Loan Lenders shall disburse the 2017 Refinancing Term Loan to be made by it pursuant to Section 1(a) on the date (the “Fourth Amendment Effective Date”) when the following conditions shall have been satisfied (or waived):
