Conditions of the Investors. OBLIGATIONS AT THE CLOSING The obligations of each Investor under this Agreement at the Closing are subject to the fulfillment on or before the Closing of each of the following conditions unless waived by the Investors; provided, however, that any waiver of a condition shall not be deemed a waiver of any breach of any representation, warranty, agreement, term or covenant or of any misrepresentation by the Company, the PRC Subsidiary or the Founder, except to the extent expressly so waived.
Conditions of the Investors. The Investors' obligations to exchange their Subordinated Notes for Preferred Stock and consent to the transactions contemplated hereby shall be subject to compliance by the Company and ROL (and for the purposes of Section 3.1(f) hereof, the Management Stockholders) with their agreements herein contained and to the fulfillment, to the Investors' satisfaction, of the following conditions:
