CONDITIONS PRECEDENT FOR UK FACILITY. No Lender under the UK Facility ------------------------------------ is obligated to fund the initial Borrowing under it or issue any LC or BG unless (a) Administrative Agent or UK-Collateral Agent has received all of the items to be received by it as described on SCHEDULE 7.2 (other than each item, if any, specifically noted on that schedule as being required to be delivered by a date later than the applicable Closing Date), (b) the conditions precedent in SECTION 7.1 have been fully satisfied or waived in writing by Lenders, (c) the Electrotech Acquisition has been consummated, and (d) Lloyds Bank Plc shall have agreed to extend the approximate (Pounds)800,000 term loan to UK Borrowers on terms and intercreditor arrangements reasonably acceptable to Administrative Agent and secured only by Liens on UK Borrowers' Thornbury Laboratories facilities and other assets acceptable to Lenders.
