This Third Amendment shall become effective on the date (such date, the “Third Amendment Effective Date”) when the Administrative Agent shall have received this Third Amendment, executed and delivered by Holdings, Intermediate Holdings, the Borrower, each Subsidiary Guarantor, the Administrative Agent, the Collateral Agent and the Lenders party hereto constituting the Required Lenders.
