CONDITIONS TO CLOSING BY OWNER PARTICIPANT. The obligations of the Owner Participant pursuant to Section 2 to participate in the payment of Owner's Cost and to take the other actions contemplated by Section 2 to be taken by it on the Closing Date are subject only to the fulfillment on the Closing Date to the satisfaction of (including, with respect to writings, such writings being in form and substance reasonably satisfactory to the addressee or the beneficiary thereof) or waiver by the Owner Participant of each of the following conditions precedent (other than (i) in the case of the Owner Participant, Sections 5.6 (d) and (i) except that the obligations of the Owner Participant shall not be subject to the Owner Participant's own performance or, if the Owner Participant shall have the power to cause another Person to perform, the Owner Participant's failure to cause such performance:
