CONDITIONS TO CLOSING OF THIS AMENDMENT. The obligation of the Banks to make the Revolving Credit Loans to the Borrowers and to make the Swing Line Loans to the Borrowers are subject to the condition that, in addition to the satisfaction of the conditions precedent specified in Section 5.1 of the Loan Agreement, and with respect to the Swing Line Loan, the conditions precedent specified in Section 3.1D of the Loan Agreement, as of the 1999A Amendment Closing Date, the Banks shall have received the following from the Borrowers, dated the 1999A Amendment Closing Date or such other date as shall be acceptable to the Banks:
