Conditions to Each Party’s Obligations to Consummate the Purchase. The respective obligations of each party to consummate the transactions contemplated by this Agreement are subject to the condition that, after the date hereof and at or prior to the Closing Date, no statute, rule, regulation, executive order, decree or injunction shall have been enacted, entered, promulgated or enforced by any Governmental Entity that prohibits the consummation of the Purchase.
Conditions to Each Party’s Obligations to Consummate the Purchase. The respective obligations of each party to consummate the Purchase and to take the other actions required under this Agreement at Closing are subject to the satisfaction at or prior to the Closing Date of the condition that (a) no Law or Order shall have been enacted, entered, promulgated or enforced by any Governmental Entity that restrains, enjoins, prohibits or makes illegal the consummation of the Purchase or that materially and adversely affects the ownership, use, operation or control of the Business or the Purchased Assets, and (b) there shall be no Legal Proceeding pending or threatened that challenges the Purchase or seeks monetary, injunctive or other relief by reason of the consummation of the Purchase.
