Conditions to Effectiveness of Section 2. Section 2 of this Amendment shall become effective on the date (the “Fourth Repricing Date”) occurring on or after April 27, 2018 that each of the following conditions shall have been satisfied (or waived by the Required Lenders):

Section 2 of this Agreement shall be effective on the date on which the Administrative Agent shall have signed this Agreement and the Administrative Agent shall have received (i) counterparts of this Agreement executed and delivered by an authorized officer of each of the Standstill Parties and the Required Lenders and (ii) counterparts of the Consent appended hereto (the "Consent") executed by the Company and each of the Domestic Subsidiary Guarantors.
