Conditions to Initial Effective Date. The consents and waivers provided by the Administrative Agent and the Lenders constituting Required Lenders in Section 1 and the amendments to the Existing Credit Agreement set forth in Section 2, shall each become effective on the date (such date, the “Initial Effective Date”) on which each of the following conditions has been satisfied or waived, which date is February 4, 2020:
Conditions to Initial Effective Date. Upon the satisfaction of the following conditions precedent, this Amendment shall become effective (the date of satisfaction of such conditions precedent, the “Initial Effective Date”) (it being agreed and understood that the provisions contained in Section 3(c), Section 3(d) and Section 5, which are conditioned upon the conditions contained in Section 9 (such provisions, collectively, the “Subsequently Effective Provisions”) below shall become effective only as provided in Section 9 below (such conditions as set out in Section 9 being the “Subsequently Effective Conditions”) and all other provisions contained herein shall be effective on the Initial Effective Date (such provisions collectively, the “Initial Effective Provisions”)):
