CONDITIONS TO LANDLORD'S CONSENT. If Landlord elects to consent, or shall have been ordered to so consent by a court of competent jurisdiction, to such requested assignment or subletting, such consent shall be expressly conditioned upon the occurrence of each of the conditions below set forth, and any purported assignment or subletting made or ordered prior to the full and complete satisfaction of each of the following conditions shall be void and, at the election of Landlord, which election may be exercised at any time following such a purported assignment or subletting but prior to the satisfaction of each of the stated conditions, shall constitute a material default by Tenant under this Lease until cured by satisfying in full each such condition by the assignee or sublessee. The conditions are as follows: (a) Landlord having approved in form and substance the assignment or sublease agreement and any ancillary documents, which approval shall not be unreasonably withheld by Landlord if the requirements of this Article 7 are otherwise complied with. (b) Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assume, to be bound by, and to perform the obligations of this Lease to be performed by Tenant which relate to space being subleased. (c) Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or subletting. (d) Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting or assignment. (e) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements. (f) Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows: (i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or (ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid. (iii) If Tenant subleases the Leased Premises, that Tenant and Tenant's sublessee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's sublessee jointly agree to pay to Landlord fifty percent (50%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paid.

(d) Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' ’ fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting or assignmentassignment (not to exceed One Thousand Dollars ($1,000.00) in each case).
(e) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements.
(f) With respect to an assignment, Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals Assignment Consideration to be paid to Tenant or to any other on Tenant's ’s behalf or for Tenant's ’s benefit for such assignment or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration Assignment Consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or

Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assume, to be bound by, and to perform the obligations of this Lease to be performed by Tenant which relate (or, in the case of an encumbrance, each such encumbrancer having similarly agreed to space being subleasedassume, be bound by and to perform Tenant's obligations upon a foreclosure or transfer in lieu thereof).
(c) C. Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of the requested consent, as well as through and including the date such assignment or sublettingsubletting is to become effective.
(d) D. Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorneys fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance.
(e) E. Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.
(f) F. Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty one hundred percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i1) If Tenant assigns its interest under this the Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty one hundred percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii2) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty one hundred percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.

(e) E. Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement agreement, assignment or assignment agreement encumbrance (as applicable) and all related agreements.
(f) F. Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i1) If Tenant assigns its interest under this the Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assigneeassignee after subtracting Tenant's reasonable costs in connection therewith (including, without limitation reasonable brokerage commissions and attorneys' fees and the unamortized portion of Tenant Improvements paid for solely by Tenant ("Assignment/Subletting Costs"), all reduced to a monthly amount to be allocated over the remaining term of the Lease; or
(ii2) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paidpaid after subtracting Tenant's Assignment/Subletting Costs.
(iii3) If Tenant subleases the Leased Premises, that Tenant and Tenant's sublessee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's sublessee jointly agree to pay to Landlord fifty percent (50%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paidpaid after subtracting Tenant's Assignment/Subletting Costs.

Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assumeassume (except a sublessee need only assume the obligations of this Lease applicable to the subleased Premises), to be bound by, and to perform the obligations of this Lease to be performed by Tenant which relate (or, in the case of an encumbrance, each such encumbrancer having similarly agreed to space being subleasedassume, be bound by and to perform Tenant's obligations upon a foreclosure or transfer in lieu thereof).
(c) C. Tenant having fully and completely performed all of its obligations under the terms of this Lease within the last twelve (12) months prior to the date of the intended assignment through and including the date of such assignment or subletting.
(d) D. Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorney's fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance.
(e) E. Tenant having delivered to Landlord a complete and fully-fully executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.
(f) F. Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:

(f) If Tenant having paidenters into any assignment or sublease permitted hereunder or consented to by Landlord, Tenant shall, within 30 days of Landlord’s consent to such assignment or having agreed in writing to pay as to future paymentssublease (or if such assignment or sublease is permitted hereunder without Landlord’s prior consent, within 30 days of the effective date of such assignment or sublease), deliver to Landlord fifty percent (50%) a list of all assignment consideration Tenant’s reasonable third-party brokerage fees, tenant improvement costs and legal fees paid or excess rentals to be paid in connection with such transaction (collectively, “Transaction Costs”). If Tenant prevails, Landlord shall be required to consent to said sublease or assignment. This shall be Tenant’s sole remedy. Tenant shall not be entitled to any damages based upon such default.

(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's ’s assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's ’s assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.

(e) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements.

CONDITIONS TO LANDLORD'S CONSENT. (c) Tenant having fully shall pay, within 10 business days of receipt of an invoice which shall be no less than $1,000.00, Landlord’s reasonable attorneys’ fees and completely performed costs in connection with the review, processing and documentation of any transfer for which Landlord’s consent is requested. If Tenant executes Landlord’s then standard form of consent without (i) any changes to this Lease, (ii) reduction or modification of Tenant’s liability under this Lease, (iii) material negotiation of the Landlord’s rights in any assignment or sublease documents, or (iv) material changes to the consent, the review fee shall not exceed $2,000.00. However, in the event of any of the foregoing or if Tenant or the transferee request, and Landlord agrees to, material changes to Landlord’s standard form of consent or if there are material negotiations related thereto or if this Lease needs to be amended as a result thereof, Tenant shall pay all of its obligations under the terms Landlord’s reasonable costs and expenses (including reasonable attorney’s fees and costs attributable to time expended by in house counsel, accountants or other personnel of this Lease through and including the date of such assignment or sublettingLandlord).
(d) Tenant having reimbursed to Landlord all reasonable costs Tenant’s request for consent under this Article VIII (and reasonable attorneys' fees incurred by Landlord in conjunction with the processing and documentation Tenant’s notice of any such requested subletting or assignment.
(etransfer not requiring Landlord’s consent under Section 8.1 above) Tenant having delivered to Landlord a complete and fully-executed duplicate original shall set forth the details of such sublease agreement or assignment agreement (as applicable) and all related agreements.
(f) Tenant having paidthe proposed transfer, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
including: (i) If the name, business and financial condition of the prospective transferee, (ii) a true and complete copy of the proposed instrument containing all of the terms and conditions of such transfer, (iii) the proposed form of agreement of the assignee, subtenant or licensee, in form reasonably approved by Landlord, agreeing with Landlord to perform and observe all of the terms, covenants, and conditions of this Lease, and (iv) any other information Landlord reasonably requested by Landlord prior to or in response to such notice. Except for any transfer not requiring Landlord’s consent under Section 8.1 above, Landlord’s consent shall not be deemed to be unreasonably withheld as to any proposed transfer, if based on any of the following factors applying reasonably prudent business judgment: (w) the business of the proposed assignee or subtenant and the proposed use of the Premises (if other than the Permitted Use) is inconsistent with the character of the Building or is not permitted by applicable zoning or use regulations; (x) the net worth, business reputation, character, and financial condition of the proposed assignee or subtenant is not reasonably acceptable to Landlord; (y) Tenant assigns its interest is in default under this Lease beyond any applicable notice and if all or a portion of the consideration for cure periods; and (z) such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to other factors as Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paidmay reasonably deem relevant.

(c) Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or sublettingC. Landlord shall not have exercised any remedy for a Default by Tenant.

Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assume, to be bound by, and to perform the obligations of this Lease to be performed by Tenant which relate Xxxxxx (or, in the case of an encumbrance, each such encumbrancer having similarly agreed to space being subleasedassume, to be bound by and to perform Tenant's obligations upon a foreclosure or transfer in lieu thereof).
(c) Tenant X. Xxxxxx having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or subletting.
(d) Tenant D. In addition to the processing fee, Xxxxxx having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorney's fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance.
(e) Tenant X. Xxxxxx having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.
(f) Tenant X. Xxxxxx having paid, or having agreed in writing to pay as to future payments, to Landlord fifty one-hundred percent (50100%) of all assignment consideration or excess rentals to be paid to Tenant or to any other others on Tenant's behalf or for TenantXxxxxx's benefit for such assignment or subletting as follows:
(i1) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty one-hundred percent (50100%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii2) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and TenantXxxxxx's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and TenantXxxxxx's assignee jointly agree to pay to Landlord an amount equal to fifty percent one-hundred (50100%) percent of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.
(iii3) If Tenant subleases the Leased Premises, that Tenant and TenantXxxxxx's sublessee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and TenantXxxxxx's sublessee jointly agree to pay to Landlord fifty one-hundred percent (50100%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paid.
G. Base Monthly Rent under the assignment or sublease to be at the current prevailing market rate.
H. If Landlord does not consent to such requested assignment or subletting and Xxxxxx believes that such refusal to consent is a default under this Lease, then Tenant shall be entitled to petition a court of competent jurisdiction to determine that such refusal is a default under this Lease. If Tenant prevails, Landlord shall be required to consent to said sublease or assignment. This shall be Tenant’s sole remedy. Tenant shall not be entitled to any damages based upon such default.

(d) Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting or assignment.
(e) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements.
(f) Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.
(iii) If Tenant subleases the Leased Premises, that Tenant and Tenant's sublessee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's sublessee jointly agree to pay to Landlord fifty percent (50%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paid.

(d) Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' ’ fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting or assignment, which amount shall not exceed $1,500.00 for each such requested sublease (and which limitation shall not apply to each such requested assignment). Tenant shall be obligated to so reimburse Landlord whether or not such subletting or assignment is completed.
(e) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements.
(f) Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's ’s behalf or for Tenant's ’s benefit for such assignment or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee, less Tenant’s reasonable assignment expenses, including, but not limited to, marketing expenses, subtenant improvements, leasing commissions and legal fees; or

The sums payable under this Lease and if clause shall be paid by Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord monthly as and its counsel whereby Tenant when paid by the subtenant to Tenant. “Transaction Costs” shall mean Tenant’s reasonable third-party brokerage fees, tenant improvement costs and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments legal fees paid or to be paid by in connection with such assignee as and when transaction (collectively, “Transaction Costs”). (ii2) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's ’s assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's ’s assignee jointly agree to pay to Landlord an amount equal to fifty seventy five percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.

CONDITIONS TO LANDLORD'S CONSENT. (c) C. Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of the requested consent, as well as through and including the date such assignment or sublettingsubletting is to become effective.
(d) D. Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorneys fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance.
(e) E. Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.

(b) B. Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assume, to be bound by, and to perform the obligations of this Lease to be performed per- formed by Tenant which relate (or, in the case of an encumbrance, each such encumbrancer having similarly agreed to space being subleasedassume, be bound by and to perform Tenant's obligations upon a foreclosure or transfer in lieu thereof).
(c) C. Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or subletting.
(d) D. Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorneys fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance.
(e) E. Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.
(f) F. Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i1) If Tenant assigns its interest under this the Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii2) If Tenant assigns its interest under this Lease and if Tenant Tenants is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.

(d) Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' fees expenses incurred by Landlord in conjunction connection with Tenant's request for such consent, including attorneys' fees and disbursements, the processing costs of investigating the acceptability of Subtenant, and any leasing or brokerage commissions, and (b) all reasonable direct and indirect expenses incurred by Landlord due to Subtenant taking possession of the Premises, including, but not limited to, costs relating to freight elevator operation, security service, janitorial service and rubbish removal (collectively, "Transfer-Related Costs"). ---------------------- Tenant shall reimburse Landlord for the Transfer-Related Costs incurred by Landlord within ten (10) days following Tenant's receipt of an invoice.
7.3 Tenant shall pay to Landlord as and when required under the Master Lease, the amounts set forth in Section 14.1(D) of the Master Lease regarding Subrent, and upon request by Landlord, Tenant shall provide Landlord with reasonable documentation of any such requested subletting or assignmentTenant's payment of the Permitted Transfer Costs and Tenant's calculations of the Subrent.
(e) Tenant having delivered to 7.4 Neither Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement nor the other Indemnitees (as applicabledefined below) and all related agreements.
(f) Tenant having paid, or having agreed in writing shall be liable to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant Subtenant or to any of Subtenant's Agents (as defined in Section 1.4 of the Master Lease), and Subtenant waives all claims against Landlord and such other on Tenant's behalf Indemnitees, for any injury to or death of any person or for Tenant's benefit for such assignment loss of use of or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all damage to or a destruction of property in or about the Premises or Project by or from any cause whatsoever, including without limitation, earthquake or earth movement, gas, fire, oil, electricity or leakage from the roof, walls, basement or other portion of the consideration for Premises or Project, except only, with respect to any Indemnitee, to the extent such assignment injury, death or damage is caused by the gross negligence or willful misconduct of such Indemnitee and not covered by the insurance required to be paid carried by Subtenant under the Sublease and hereunder or except to the extent such limitation on liability is prohibited by law. The provisions of this Section 7.4 shall survive the expiration or earlier termination of the Sublease until all claims within the scope of this Section 7.4 are fully, finally, and absolutely barred by the assignee at applicable statutes of limitations.
7.5 Subtenant shall hold harmless, indemnify and defend Landlord, and its employees, agents and contractors (the time "Indemnitees"), on the terms and conditions contained in Section 10.3 of the assignmentMaster Lease, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of as if the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration term "Subtenant" were substituted for such assignment in future installments, that Tenant and "Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid" therein.

(e) encumbrance. Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.
(f) . Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty 50 percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i) : If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty 50 percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii) or If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty 50 percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.
(iii) . If Tenant subleases the Leased Premises, that Tenant and Tenant's sublessee subleasee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's sublessee subleasee jointly agree to pay to Landlord fifty 50 percent (50%) of all excess rentals to be paid by such sublessee subleases as and when such excess rentals are so paid.

(c) C. Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or subletting.

Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorney’s fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance; provided, however, that such costs and fees shall not exceed $750 per request.
(e) E. Tenant having delivered to Landlord a complete and fully-fully executed duplicate original of such sublease agreement, assignment agreement or assignment agreement encumbrance (as applicable) and all related agreements.

If Landlord elects to consent, or shall have been ordered to so consent by a court of competent jurisdiction, to such requested assignment or subletting, such consent shall be expressly conditioned upon the occurrence of each of the conditions below set forth, and any purported assignment or subletting made or ordered prior to the full and complete satisfaction of each of the following conditions shall be void and, at the election of Landlord, which election may be exercised at any time following such a purported assignment or subletting but prior to the satisfaction of each of the stated conditions, shall constitute a material default by Tenant under this Lease until cured by satisfying in full each such condition by the assignee or sublessee. The conditions are as follows:
(a) Landlord having approved in form and substance the assignment or sublease agreement and any ancillary documents, which approval shall not be unreasonably withheld by Landlord if the requirements of this Article 7 are otherwise complied with.
(b) Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assume, to be bound by, and to perform the obligations of this Lease to be performed by Tenant which relate to space being subleased.
(c) Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or subletting.
(d) Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' ’ fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting or assignment. Tenant shall be obligated to so reimburse Landlord whether or not such subletting or assignment is completed.
(e) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements.
(f) Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration with respect to the Premises or excess rentals to be paid to Tenant or to any other on Tenant's ’s behalf or for Tenant's ’s benefit for such assignment or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment with respect to the Premises is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; : or
(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration with respect to the Premises for such assignment in future installments, that Tenant and Tenant's ’s assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's ’s assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.
(iii) If Tenant subleases the Leased Premises, that Tenant and Tenant's ’s sublessee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's ’s sublessee jointly agree to pay to Landlord fifty percent (50%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paidsublessee.

(i1) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty one-hundred percent (50100%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii2) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and TenantXxxxxx's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and TenantXxxxxx's assignee jointly agree to pay to Landlord an amount equal to fifty percent one- hundred (50100%) percent of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.
(iii3) If Tenant subleases the Leased Premises, that Tenant and TenantXxxxxx's sublessee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and TenantXxxxxx's sublessee jointly agree to pay to Landlord fifty one-hundred percent (50100%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paid.
G. Base Monthly Rent under the assignment or sublease to be at the current prevailing market rate.
H. If Landlord does not consent to such requested assignment or subletting and Xxxxxx believes that such refusal to consent is a default under this Lease, then Tenant shall be entitled to petition a court of competent jurisdiction to determine that such refusal is a default under this Lease. If Tenant prevails, Landlord shall be required to consent to said sublease or assignment. This shall be Tenant’s sole remedy. Tenant shall not be entitled to any damages based upon such default.

CONDITIONS TO LANDLORD'S CONSENT. If Landlord elects to consent, or shall have been ordered to so consent by a court of competent jurisdiction, to such requested assignment assignment, subletting or sublettingencumbrance, such consent shall be expressly conditioned upon the occurrence of each of the conditions below set forth, and any purported assignment assignment, subletting or subletting encumbrance made or ordered prior to the full and complete satisfaction of each of the following conditions shall be void and, at the election of Landlord, which election may be exercised at any time following such a purported assignment assignment, subletting or subletting encumbrance but prior to the satisfaction of each of the stated conditions, shall constitute a material default by Tenant under this Lease until giving Landlord the absolute right to terminate this Lease unless such default is promptly cured by satisfying in full each such condition by the assignee assignee, sublessee or sublesseeencumbrancer. The conditions are as follows:
(a) 1. Landlord having approved in form and substance the assignment or sublease agreement and any ancillary documents(or the encumbrance agreement), which approval shall not be unreasonably withheld or delayed by Landlord if the requirements of this Article 7 22 are otherwise complied with.
(b) 2. Each such sublessee or assignee having agreed, in writing satisfactory to Landlord and its counsel and for the benefit of Landlord, to assume, to be bound by, and to perform the obligations of this Lease to be performed by Tenant which relate (or, in the case of an encumbrance, each such encumbrancer having similarly agreed to space being subleasedassume, be bound by and to perform Tenant's obligation upon a foreclosure or transfer in lieu thereof).
(c) 3. Tenant having fully and completely performed all of its obligations under the terms of this Lease through and including the date of such assignment or subletting.
(d) 4. Tenant having reimbursed to Landlord all reasonable costs and reasonable attorneys' attorneys fees incurred by Landlord in conjunction with the processing and documentation of any such requested subletting subletting, assignment or assignmentencumbrance, not to exceed Seven Hundred Fifty Dollars ($750.00) per request.
(e) 5. Tenant having delivered to Landlord a complete and fully-fully executed duplicate original of such sublease agreement agreement, assignment or assignment agreement encumbrance (as applicable) and all related agreements.
(f) Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals to be paid to Tenant or to any other on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.

(d) There being no default by Tenant in the performance of any of its obligations hereunder.
(e) Tenant having reimbursed to Landlord all reasonable costs and reasonable reasonably attorneys' fees actually incurred by Landlord in conjunction with the processing and documentation of any such requested subletting or assignment, up to a maximum of $3,000 per each request for Landlord's consent.
(ef) Tenant having delivered to Landlord a complete and fully-executed duplicate original of such sublease agreement or assignment agreement (as applicable) and all related agreements.
(fg) Tenant having paid, or having agreed in writing to pay as to future payments, to Landlord fifty percent (50%) of all assignment consideration or excess rentals (as defined below) to be paid to Tenant or to any other party on Tenant's behalf or for Tenant's benefit for such assignment or subletting as follows:
(i) If Tenant assigns its interest under this Lease and if all or a portion of the consideration for such assignment is to be paid by the assignee at the time of the assignment, that Tenant shall have paid to Landlord and Landlord shall have received an amount equal to fifty percent (50%) of the assignment consideration so paid or to be paid (whichever is the greater) at the time of the assignment by the assignee; or
(ii) If Tenant assigns its interest under this Lease and if Tenant is to receive all or a portion of the consideration for such assignment in future installments, that Tenant and Tenant's assignee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's assignee jointly agree agreed in writing to pay to Landlord an amount equal to fifty percent (50%) of all such future assignment consideration installments to be paid by such assignee as and when such assignment consideration is so paid.
(iii) If Tenant subleases the Leased Premises, that Tenant and Tenant's sublessee Transferee shall have entered into a written agreement with and for the benefit of Landlord satisfactory to Landlord and its counsel whereby Tenant and Tenant's sublessee jointly agree agreed in writing to pay to Landlord fifty percent (50%) of all excess rentals to be paid by such sublessee as and when such excess rentals are so paid.
