Conditions to Obligation of the Operating Partnership. The obligations of the Operating Partnership to consummate the transactions contemplated hereby and take the actions to be performed by it in connection with the Closing are subject to satisfaction of the following additional condition: The Partners or Members of the Merging Entity shall have executed the signature page of the Agreement of Limited Partnership of the Operating Partnership and such other documents as shall be necessary for admission as a limited partner of the Operating Partnership.
Conditions to Obligation of the Operating Partnership. The obligations of the Operating Partnership to effect the Mergers and to consummate the other transactions contemplated by this Agreement to occur on the Closing Date are further subject to satisfaction of the following conditions (any of which may be waived by the Operating Partnership, in whole or in part):
