Conditions to Obligations of EQM and EQM Gathering Opco. The obligations of EQM and EQM Gathering Opco to consummate each Transaction contemplated by this Agreement shall be subject to the fulfillment, at or prior to the applicable Closing, of each of the following conditions (unless a condition is otherwise indicated to apply only to a particular Transaction), any of which may be waived in writing by EQM (on behalf of itself and EQM Gathering Opco) in its sole discretion:
