CONDITIONS TO THE DISBURSEMENT OF THE TERM LOAN A AND ALL ADVANCES. The obligation of Lender to disburse the proceeds of the Term Loan A or make any Advance after the Closing Date, or to continue or convert any Loan hereunder, is subject to the satisfaction of the following conditions precedent on the relevant Funding Date, Conversion Date or continuation date, each in a manner, form and substance satisfactory to Lender:
