Conditions to the Obligation of Sellers to Complete the Acquisition. The obligation of the Sellers to consummate the transactions contemplated hereby, to sell the Assets to the Purchaser, and the obligations of the Sellers under the other Transaction Documents, is subject to the fulfillment of the following conditions on or prior to the Closing, any of which may be waived, in whole or in part, by the Seller Representative, with the consent of the Required Sellers, in their sole discretion, and Purchaser shall use its best efforts to cause such conditions to be fulfilled:
