Conditions to the Obligations of Parent and Merger Sub to Effect the Merger. The respective obligations of Parent and Merger Sub to consummate the transactions provided for hereby are subject to the satisfaction, on or prior to the Closing Date, of each of the following conditions, any of which may be waived by Parent or Merger Sub:

The obligations of Parent and Merger Sub to effect the Merger shall be subject to the satisfaction or waiver of the condition that the Company shall have delivered to Parent and Merger Sub an opinion of the Company’s counsel in the form attached hereto as Section 9.2 of the Company Disclosure Schedule relating to the Company’s qualification and taxation as a REIT under the Code for the taxable period commencing with the Company’s initial taxable year ended December 31, 2007 through the Effective Time.
