CONDITIONS TO VITA'S OBLIGATIONS. The obligations of Vita to consummate the transactions contemplated by this Agreement, both at the Closing and subsequently, are subject to the fulfillment at the Closing of each of the conditions set forth in this Section 5. Vita may waive any or all of these conditions in whole or in part without prior notice; PROVIDED, HOWEVER, that no such waiver shall constitute a waiver of any of its other rights or remedies, at law or in equity, arising from any breach by Omni of any representation, warranty, covenant or other agreement contained herein:
