Supplier Agreement. The Seller and the Company are parties to that certain Confidential Endorsed Supplier Agreement executed by the parties on April 24, 1998 and May 2, 1998, respectively (the “Supplier Agreement”). As additional consideration for entering into this Agreement, both the Seller and the Company hereby irrevocably waive their rights under Section 19 of the Supplier Agreement to terminate the Supplier Agreement by written notice, without cause, until the seventh anniversary of the date of this Agreement.
Supplier Agreement. 16.1 Purchaser and Seller shall enter into an exclusive ten (10) year supplier agreement (the “Exclusive Supplier Period”) as soon as Seller has developed a version of ElectriPlast that the parties agree is suitable for use in the manufacture of bipolar plates using the Technology. The supply agreement shall include the following key terms:
Supplier Agreement. The Supplier shall give the Hirer an Agreement specifying the work required to be done in order to fulfill the Hirer’s instructions.
Supplier Agreement. TENANT shall enter into a written agreement with its fuel supplier which recognizes the existence of the provisions of this agreement. A copy of said agreement shall be delivered to LANDLORD's Airport Manager prior to the commencement of fuel delivery. Said agreement shall provide that either TENANT or TENANT's supplier shall indemnify, hold harmless and provide insurance coverage to the City for all uses arising from the delivery, storage, sale and supplying of such fuel. Such agreement shall further provide that the supplier shall make available to the City at reasonable times, its records of transactions involving delivery of fuel to TENANT for purposes of auditing TENANT's performance under this agreement.
Supplier Agreement. Nothing in this Agreement or in any Supplier Agreement shall in any way obligate Member to purchase Covered Items from a Supplier. Where Member chooses to purchase Covered Items from a Supplier under a Supplier Agreement, Member shall comply with the terms and conditions of the Supplier Agreement. Member acknowledges and agrees that before Member may purchase Covered Items from a Supplier under a Supplier Agreement, CNHN may need to ensure that the Supplier at issue is willing to do business with the Member.
Supplier Agreement. This Supplier Agreement contains rules and regulations, policies, terms & conditions and agreement applicable to any supplier who may access or use Craftcoup, including any sub domains, web pages or extension of Xxxxxxxxx.xxx; you hereby agree and acknowledge to be bound by the terms of this supplier Agreement. The use of Craftcoup and the services provided are subject to the rules and regulations, policies, notices, terms & conditions set forth in this Seller Agreement. For the purposes of this Seller Agreement, 'Seller' and wherever the context may require 'You' (or any variation thereof), shall mean any natural or legal person who has agreed to become a Seller of Craftcoup by registering on Craftcoup by submitting identification information/ registration details using the computer system of Craftcoup and accepting the electronic record of the Seller Agreement, has obtained a unique username along and a secret alphanumerical key (password) for using the Website. Craftcoup reserves the right to change this Website and/or alter the terms and conditions of this Seller Agreement at any time and retains the right to deny access to anyone who Craftcoup believes has violated the provisions of this Seller Agreement. You are advised that any amendment to the Seller Agreement or rules and policies incorporated herein by reference will only be notified on the Website on publicly accessible links and you agree by accessing, browsing or using this website that this constitutes sufficient notice for all purposes against you. The revised version/ terms shall be effective from the time that Craftcoup posts the same on the Website. In the event, that the Seller Agreement includes a substantial change, Craftcoup will provide 30 days' prior notice of such substantial change by posting the same on the Website and also at the email address provided by the Seller to Craftcoup. For the purposes of this Seller Agreement, 'substantial change' means a change to the terms of this Seller Agreement that reduces your rights or increases your responsibilities.] By impliedly or expressly accepting this Seller Agreement, you also accept and agree to be bound by Craftcoup Rules and Policies for Sellers as provided from time to time on the website.
Supplier Agreement. These Terms and Conditions contained herein for the purchase of Goods and/or Services by MSI (“Terms”) and all documents attached hereto or referenced herein (“Exhibits”), including Purchase Order form(s) and any amendments or change orders, if any, shall be incorporated together and constitute the contract (“Supplier Agreement”) for the Goods/Services purchased by MSI from Supplier. The Supplier Agreement is effective and its is expressly conditional upon Supplier’s assent to all terms and conditions in this MSI Supplier Agreement that are different from and/or in addition to those stated in the Supplier’s purchase order, quotation, proposal or other offering documents. MSI hereby gives notice of objection to any different or additional terms in any response to this Supplier Agreement. Shipment of any Goods or the performance of any Services by Supplier shall be deemed to constitute Supplier’s assent to this provision. Affiliate. With respect to either Party, Affiliate shall include any other party or entity who directly or indirectly, through one or more intermediaries, controls, or is controlled by, or is under common control with such Party.
Supplier Agreement. The Parent and Subco shall have received evidence reasonably satisfactory to them that Amorcyte has entered into an agreement with a supplier for cell sorting for the Phase 2 trial that is reasonably acceptable to the Parent and on terms and conditions reasonably acceptable to the Parent (the “Supplier Agreement”). It is understood that Amorcyte shall not order any supplies under the Supplier Agreement prior to Closing without the express written consent of Parent, but that so long as no supplies actually are ordered, the contingent liability of Amorcyte under the Supplier Agreement for future orders shall not be included when scheduling Estimated Liabilities or in preparing the Adjusted Closing Liabilities Schedule.
Supplier Agreement. Seller shall cause the Company to use commercially reasonable efforts to enter into a Supplier Agreement prior to or concurrently with the Closing on terms and conditions that are at least as favorable in the aggregate to the Company as the terms of the Company’s arrangement with such supplier as of the date of this Agreement. In the event the Company has not entered into a 36 Supplier Agreement prior to the Closing, until such time as the Company enters into a Supplier Agreement, but no later than six (6) months after the Closing Date, the Transition Services Agreement will provide the Company with the right to continue to procure supplies from Supplier No. 1 in the same manner as if the Company were still an Affiliate of Seller.
