Conduct and Transactions of SANUWAVE. During the period from the date hereof to the date of Closing, SANUWAVE shall: (a) Conduct the operations of SANUWAVE in the ordinary course of business. (b) SANUWAVE shall not during such period, except in the ordinary course of business, without the prior written consent of RME: (1) Declare or pay any dividends on shares of its capital stock or make any other distribution of assets to the holders thereof; (2) Except as otherwise contemplated and required by this Agreement, amend its Certificate of Incorporation or Bylaws or merge or consolidate with or into any other corporation or sell all or substantially all of its assets. (3) Will not issue any stock, warrants, options or other rights to acquire capital stock of SANUWAVE in excess of the amounts represented in Section 4.5.
