Conduct of Business by the Target Pending the Merger. The Target covenants and agrees that, except as otherwise contemplated by this Agreement, unless Parent shall otherwise agree in writing, between the date of this Agreement and the Effective Time, (a) the business of the Target shall be conducted only in, and the Target shall not, and shall cause the Target Subsidiaries not to, take any action except in, the Ordinary Course of Business, (b) the Target shall use all reasonable efforts to preserve substantially intact its business organization, to keep available the services of the current officers, employees and consultants of the Target and to preserve the current relationships of the Target with customers, suppliers and other persons with which the Target has significant business relationships, (c) Target shall keep in full force and effect liability and other insurance and bonds comparable in amount and scope of coverage to that currently maintained and described in Section 3.24 of the Target Disclosure Schedule, (d) Target shall not and shall not permit the Target Subsidiaries to engage in any practice, take any action, or enter into any transaction of the sort described in Section 3.08 above or paragraph (e) below and Target shall not:

Conduct of Business by the Target Pending the Merger. The Target covenants and agrees that, between the date of this Agreement and the Effective Time, except as set forth in Section 7.01 of the Target Disclosure Schedule or as expressly contemplated by any other provision of this Agreement, unless Acquiror shall otherwise agree in writing, (1) the business of the Target and the Target Subsidiaries shall be conducted only in, and the Target and the Target Subsidiaries shall not take any action except in, the ordinary course of business and in a manner consistent with past practice, (2) the Target shall use all reasonable efforts to (w) preserve substantially intact its business organization, to keep available the services of the current officers, employees and consultants of the Target and the Target Subsidiaries and to preserve the current relationships of the Target and the Target Subsidiaries with customers, suppliers and other Persons with whom the Target or any Target Subsidiary has significant business relations, (x) maintain and keep its properties and assets in as good repair and condition as at present, ordinary wear and tear excepted, and maintain supplies and inventories in quantities and quality consistent with its customary business practice, (y) keep in full force and effect insurance and bonds comparable in amount and scope of coverage to that currently maintained, and (z) maintain in effect all existing Target Permits, and timely apply for and obtain any additional Target Permits that are or will be required for current or currently planned operations, and (3) the Target will not and will not permit any Target Subsidiary to:

  • Conduct of Business by the Company Pending the Merger The Company agrees that, from the date of this Agreement until the earlier of the Effective Time and termination of this Agreement pursuant to Article VIII, except as (x) required by applicable Law, (y) set forth in Section 5.01 of the Company Disclosure Schedule or (z) expressly required or permitted by this Agreement, unless Parent shall otherwise consent in writing (which consent shall not be unreasonably withheld, conditioned or delayed), (i) the businesses of the Group Companies shall be conducted in the ordinary course of business and in a manner consistent with past practice; and (ii) the Company shall use its commercially reasonable efforts to preserve intact the assets and the business organization of the Group Companies in all material respects, to keep available the services of the current officers and key employees of the Group Companies and to maintain in all material respects the current relationships of the Group Companies with existing customers, suppliers and other persons with which any Group Companies has material business relations as of the date hereof.   • Conduct of Business by the Company During the period from the date of this Agreement to the earlier to occur of (i) the date of the termination of this Agreement and (ii) the Effective Time, except as set forth in this Section 4.01(a) of the Company Disclosure Letter or as consented to in writing by Parent (such consent not to be unreasonably withheld or delayed) or as otherwise permitted, contemplated or required by this Agreement or required by Law, the Company shall, and shall cause each of its Subsidiaries to, carry on its business in the ordinary course consistent with past practice and in compliance with all material Laws and all material authorizations from Governmental Entities prior to the Closing and, to the extent consistent therewith, use commercially reasonable efforts to preserve intact its current business organization and goodwill, preserve its assets and properties in good repair and condition, maintain capital expenditure levels consistent with past practices, keep available the services of its current officers, employees and consultants and preserve its relationships with customers, suppliers, licensors, licensees, distributors, and others having significant business dealings with it.   • Conduct Pending the Merger SECTION 2.1. Conduct of the Company's Business Prior to the Effective Time. Except as expressly provided in this Plan, during the period from the date of this Plan to the Effective Time, the Company shall, and shall cause each of its subsidiaries to, (i) conduct its business in the usual, regular and ordinary course of business consistent with past practice, (ii) use its best efforts to maintain and preserve intact its business organization, properties, leases, employees and advantageous business relationships and retain the services of its officers and key employees, (iii) use its best efforts to consummate the Agreement of Merger and Reorganization, dated as of July 21, 1998, by and between the Company, CBE, Inc., and F & M Merger Corporation, as amended on November 30, 1998 (the "CBE Merger Agreement"), (iv) take no action which would adversely affect or delay the ability of the Company, Parent or any subsidiary thereof to obtain any necessary approvals, consents or waivers of any governmental authority required for the transactions contemplated hereby or to perform its covenants and agreements on a timely basis under this Plan and (v) take no action that is reasonably likely to have a Material Adverse Effect (as defined in Section 9.1 hereof) on the Company.

  • Conduct of Business Pending Consummation 7.1 Affirmative Covenants of Each Party. From the date of this Agreement until the earlier of the Effective Time or the termination of this Agreement, unless the prior written consent of the other Party shall have been obtained, and except as otherwise expressly contemplated herein, each Party shall and shall cause each of its Subsidiaries to (i) operate its business only in the usual, regular, and ordinary course, (ii) preserve intact its business organization and material Assets and maintain its rights and franchises, and (iii) take no action that would (A) materially adversely affect the ability of either Party to obtain any Consents required for the transactions contemplated hereby without imposition of a condition or restriction of the type referred to in the last sentences of Section 9.1(b) or 9.1(c), or (B) materially adversely affect the ability of either Party to perform its covenants and agreements under this Agreement.
