Common use of Conduct of Research Program Clause in Contracts

Conduct of Research Program. Each Party: (a) shall conduct its responsibilities under the Research Program, as assigned to it under the Work Plan and shall use Commercially Reasonable Efforts to achieve the objectives and timelines within the Work Plan. (b) conduct the Research Program in compliance with all Applicable Laws and in accordance with GLPs, GCPs and GRPs to the extent applicable. (c) may utilize the services of its Affiliates and, to the extent permitted under this Agreement, utilize Third Parties to perform those activities assigned to it under the Research Program.

Conduct of Research Program. Each Party: (a) shall use commercially reasonable efforts to conduct its responsibilities under the Research Program, as assigned to it under the Work Plan Workplan and shall use Commercially Reasonable Efforts in this Agreement, and to achieve the objectives and timelines within the Work Plan.Workplan; (b) shall conduct the Research Program in compliance with all Applicable Laws and in accordance with GLPs, GCPs and GRPs to the extent applicable.Laws; and (c) may utilize the services of its Affiliates and, to the extent permitted under this Agreement, utilize and Third Parties to perform those activities assigned to it under the Research Program; provided that such Party shall remain responsible for the performance of such Affiliates and Third Parties hereunder.

Each PartyParty agrees: (a) shall To use its own efforts, in its sole discretion, to conduct its responsibilities under the Research Program, as assigned to it under the Work Plan Workplan and shall use Commercially Reasonable Efforts to achieve the objectives and timelines within the Work Plan.Workplan; (b) To act in good faith toward each other; (c) To conduct the Research Program in compliance with all Applicable Laws and in accordance with GLPs, GCPs and GRPs to the extent applicable.Laws; and (cd) That the other Party may utilize the services of its Affiliates and, to the extent permitted under this Agreement, utilize and Third Parties to perform those activities assigned to it under the Research Program; provided that such Party shall remain responsible for the performance of such Affiliates and Third Parties hereunder.
