Common use of Confidential Obligations Clause in Contracts

Confidential Obligations. Except as otherwise provided in this agreement, the Site must keep the Confidential Information confidential. Except as otherwise provided in this Agreement, the Confidential Information will remain the exclusive property of the Site and will only be used by the Site for the permitted purpose. The Site will not use the Confidential Information for any purpose that might be directly or indirectly detrimental to the Site or any of its affiliates or subsidiaries. The obligations to ensure and protect the confidentiality of the Confidential Information imposed on the Site in this agreement and any obligation to provide notice under this agreement will survive the expiration or termination, as the case may be, of this agreement and will continue for a period of seven (7) years from the date of such expiration or termination. The Site may disclose any of the Confidential Information: To such of its Employees, agents, representatives and advisors that have a need to know for the permitted purpose provided that: The Site has informed such Employee of the confidential nature of the Confidential Information; Such Employee agree to be legally bound to the same burdens of confidentiality and non-use as personnel; The Employee agree to take all necessary steps to ensure that the terms of this agreement are not violated by such Employee; and The Employee agrees to be responsible for and indemnify the Site for any breach of this agreement. To a third party where the Employer has consented in writing to such disclosure; and To the extent required by law or by the request or requirement of any judicial, legislative, administrative or other governmental body.
