Confidentiality Deed. BACKGROUND
Confidentiality Deed. [Unless otherwise agreed, this deed shall be the confidentiality deed set out in Schedule B of QR Network’s Access Undertaking]
Confidentiality Deed. Each party acknowledges and agrees that they continue to be bound by the Confidentiality Deed after the date of this agreement in respect of all information received by it from the other party on, before or after the date of this agreement and that the terms of this agreement will prevail over the terms of the Confidentiality Deed to the extent of any inconsistency.
Confidentiality Deed. The obligations of confidentiality under the confidentiality agreement dated August 28, 2009 between the Parties and SMART Technologies ULC are terminated with effect from Closing.

Confidentiality Deed. Air NZ’s obligations to provide non-public information to the Crown and its advisers under this Section 2 are subject to the Crown first executing in favour of Air NZ a Confidentiality Deed in a form acceptable to the New Zealand Stock Exchange for the purposes of Listing Rule 10.1 of that Exchange’s Listing Rules, a waiver under Listing Rule 10.1.1(d) having been obtained for that purpose by Air NZ.
Confidentiality Deed. The Seller must, on the date of this agreement:
20.5.1 enter into a termination deed in the agreed form which terminates the Confidentiality Deed with effect from Completion; and
20.5.2 deliver a counterpart of that termination deed to the Buyer.
Confidentiality Deed. Sirtex and the Bidder acknowledge and agree that they continue to be bound by the Confidentiality Deed after the date of this deed.
Confidentiality Deed. 10.1 Parties bound Each party acknowledges and agrees that it continues to be bound by the Confidentiality Deed after the date of this deed.
10.2 Survival of obligations The rights and obligations of the parties under the Confidentiality Deed survive termination of this deed.
Confidentiality Deed. Subject to the clause 19.2, the existence and terms of this agreement are taken to be confidential information to which the Confidentiality Agreement applies.
